Debt Opinion definition

Debt Opinion has the meaning specified in Section 2.04(b) of the Indenture.
Debt Opinion means one or more written tax opinions from counsel (which counsel shall be reasonably satisfactory to the Trust, the Owner Trustee and the Indenture Trustee) to the effect that the Later-Sold Notes will be characterized as debt for U.S. federal income tax purposes.

Related to Debt Opinion

  • Debt bondage means the status or condition of a debtor arising from a pledge by the debtor of his or her personal services or of those of a person under his or her control as a security for debt, if the value of those services as reasonably assessed is not applied

  • Senior Unsecured Notes Indenture means the Indenture dated as of July 20, 2011 among Xxxxx Fargo Bank, National Association, as trustee, the Borrower, as issuer, and the guarantors party thereto, as the same may be amended or supplemented from time to time.

  • Existing Notes Indenture shall have the meaning set forth in the recitals hereto.
