Debt Opinion definition

Debt Opinion has the meaning specified in Section 2.04(b) of the Indenture.
Debt Opinion means one or more written tax opinions from counsel (which counsel shall be reasonably satisfactory to the Trust, the Owner Trustee and the Indenture Trustee) to the effect that the Later-Sold Notes will be characterized as debt for U.S. federal income tax purposes.

Examples of Debt Opinion in a sentence

  • By acquiring a Retained Note (or beneficial interest therein) that is not the subject of a Debt Opinion, each purchaser and transferee is deemed to represent that it is not and will not be acquiring or holding such Note (or a beneficial interest therein) on behalf of, or with the assets of any Plan.
