Debtor Notice definition

Debtor Notice means the notice (mededeling) of the Pledge to an Intercompany Debtor, substantially in the form of Schedule 3 (Form of Intercompany Debtor Notice) hereto or any other form acceptable to the Pledgee; Receivables means all present and future rights and claims (vorderingen op naam) against a person to which the Pledgor is or will become entitled, regardless whether such rights and claims are present or future, contractual or non-contractual, actual, conditional, contingent, matured or not matured, but excluding (i) any receivables that have been pledged or assigned (or which are to be pledged or assigned) to the Pledgee or any other Finance Party under another Transaction Security Document, and (ii) any receivable (other than an Intercompany Receivable) whose terms provide that the relevant receivable is incapable of being, or not permitted to be, made subject to security;
Debtor Notice as used herein shall mean and refer to a written notice from debtor that: (1) contains a statement of Debtor’s intention to exercise rights under this section; (2) includes a description of the act or failure to act that Debtor contends gave rise to rights under this section; (3) specifies the steps that Debtor contends must be taken to cure such act or failure to act; and (4) is served on the Management Company, the Management Condominium Owners Association.
Debtor Notice means a written notice by the Company or a Lockbox Obligor to an Account Debtor in form and substance satisfactory to Agent which, among other things, shall direct such Account Debtor to make payments on Accounts directly to the Lockbox (or in the case of payments by wire transfer, the Collateral Account), and mail all such payments directly to the Lockbox.
