Deed of Guarantor Accession definition

Deed of Guarantor Accession means a deed to be executed and delivered by an Acceding Guarantor, substantially in the form set out in part A of schedule 8;
Deed of Guarantor Accession means a deed to be executed and delivered by any Acceding Guarantor pursuant to clause 9.17 substantially in the form of schedule 10 part A;
Deed of Guarantor Accession means a deed to be executed and delivered by the relevant Group Member substantially in the form of Schedule 6 (Form of Deed of Guarantor Accession);

Examples of Deed of Guarantor Accession in a sentence

  • Subject to compliance with the provisions of paragraphs (c) and (d) of Clause 19.19 (“Know your customer” checks) the relevant Group Member shall become an Acceding Guarantor when the Agent notifies the other Finance Parties and the Borrower that it has received a duly executed Deed of Guarantor Accession and all the documents and evidence listed in Schedule 7 (Documents and Evidence to be delivered by an Acceding Guarantor) in form and substance satisfactory to it.

  • In the case of a Subsidiary of the Borrower which becomes a party to this Agreement after 22 April 1999, the representations and warranties in clauses 11.1(a) to (f) (inclusive), 11.1(i), 11.1(j), 11.1(l), 11.1(m), 11.2(c) and 11.2(d), shall be deemed to be repeated by the Borrower and that Obligor on the date that such Obligor executes a Deed of Guarantor Accession.

  • Deed of Accession means a deed of accession to this Agreement in the form attached as Schedule 1 (Deed of Accession) hereto;

  • Guarantor Joinder Agreement means a guarantor joinder agreement substantially in the form of Exhibit 7.12 delivered by a Domestic Subsidiary of the Borrower pursuant to Section 7.12.

  • Guaranty Joinder Agreement means each Guaranty Joinder Agreement, substantially in the form thereof attached to the Guaranty, executed and delivered by a Guarantor or any other Person to the Administrative Agent pursuant to Section 6.12 or otherwise.

  • Accession Agreement means an Accession Agreement substantially in the form of Annex I to the Guaranty.

  • Security Joinder Agreement means each Security Joinder Agreement, substantially in the form thereof attached to the Security Agreement, executed and delivered by a Guarantor or any other Person to the Administrative Agent pursuant to Section 6.12 or otherwise.

  • Collateral Assignment means, with respect to any Contracts, the original instrument of collateral assignment of such Contracts by the Company, as Seller, to the Collateral Agent, substantially in the form included in Exhibit A hereto.

  • Collateral Assignment Agreement has the meaning set forth in Section 9.05.

  • Guaranty Supplement has the meaning specified in Section 8.05.

  • Guarantor Joinder means a joinder by a Person as a Guarantor under the Loan Documents in the form of Exhibit 1.1(G)(1).

  • Borrower Joinder Agreement means a joinder agreement substantially in the form of the Borrower Joinder Agreement attached as Exhibit H-2 hereto or in such other form agreed by the Administrative Agent and the Administrative Borrower.

  • Subsidiary Guaranty Agreement means each unconditional guaranty agreement executed by the Subsidiary Guarantors in favor of the Administrative Agent for the ratable benefit of the Secured Parties, substantially in the form of Exhibit H, as amended, restated, supplemented or otherwise modified from time to time.

  • Subsidiary Guaranty means the Subsidiary Guaranty made by the Subsidiary Guarantors in favor of the Administrative Agent and the Lenders, substantially in the form of Exhibit G.

  • Accession Deed means a document substantially in the form set out in Schedule 6 (Form of Accession Deed).

  • Additional Guarantor means any subsidiary of the Company that executes a Guarantee under the Indenture after the date of this Agreement.

  • Lender Joinder Agreement means a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent delivered in connection with Section 5.13.

  • Collateral Assignments means, collectively, the Assignment of the Development Agreement, and the Assignment of Management Agreement, the Assignment of the Right to Receive Tax Credits, Capital Contributions and Partnership Interests, each in form and substance satisfactory to the Significant Bondholder and the Financial Monitor and as each may be amended or supplemented from time to time with the prior written consent of the Significant Bondholder.

  • Additional Guarantors shall have the meaning assigned to such term in the Preamble hereof.

  • Joinder Agreement means a joinder agreement substantially in the form of Exhibit D executed and delivered in accordance with the provisions of Section 6.13.

  • Guaranty Agreement means the Guaranty Agreement, dated as of the Closing Date, made by the Guarantors in favor of the Administrative Agent for the benefit of the Holders of Secured Obligations, as the same may be amended, restated, supplemented or otherwise modified from time to time.

  • Accession means goods that are physically united with other goods in such a manner that the identity of the original goods is not lost.

  • Collateral Trust Joinder means (1) with respect to the provisions of the Collateral Trust Agreement relating to any additional Stock Secured Debt, an agreement substantially in the form of Exhibit B to the Collateral Trust Agreement and (2) with respect to the provisions of the Collateral Trust Agreement relating to the addition of additional Pledgors, an agreement substantially in the form of Exhibit C to the Collateral Trust Agreement.

  • Pledge Agreement Supplement means the Pledge Agreement Supplement in the form affixed as an exhibit to the Pledge Agreement.

  • Pledge Amendment shall have the meaning assigned to such term in Section 5.1 hereof.

  • U.S. Subsidiary Guarantor means each U.S. Subsidiary which has executed and delivered to the U.S. Administrative Agent the U.S. Subsidiary Guaranty (or a supplement thereto).
