Defect Notice Date definition

Defect Notice Date has the meaning specified in Section 2.1.

Defect Notice Date means December 28, 2005 or 10 days before the Closing Date, whichever is later.

Upon timely delivery of a Defect Notice under this Section 2.1, the Buyer and the Seller will in good faith negotiate the validity of the claim and the amount of any adjustment to the Purchase Price using the following criteria:
