  • After the preparation of Definitive Environmental Trust Bonds, the Temporary Environmental Trust Bonds shall be exchangeable for Definitive Environmental Trust Bonds upon surrender of the Temporary Environmental Trust Bonds at the office or agency of the Issuer to be maintained as provided in Section 3.02, without charge to the Holder.

  • Upon surrender for cancellation of any one or more Temporary Environmental Trust Bonds, the Issuer shall execute and the Indenture Trustee shall authenticate and deliver in exchange therefor a like principal amount of Definitive Environmental Trust Bonds of minimum denominations.

  • Upon surrender to the Indenture Trustee of the Global Environmental Trust Bonds by the Clearing Agency accompanied by registration instructions from such Clearing Agency for registration, the Issuer shall execute, and the Indenture Trustee shall authenticate and deliver, Definitive Environmental Trust Bonds in accordance with the instructions of the Clearing Agency.

  • If Temporary Environmental Trust Bonds are issued, the Issuer will cause Definitive Environmental Trust Bonds to be prepared without unreasonable delay.

  • Unless and until Definitive Environmental Trust Bonds shall have been issued to Holders pursuant to Section 2.13, whenever notice, payment or other communications to the Holders of Book-Entry Environmental Trust Bonds is required under this Indenture, the Indenture Trustee, the Servicer and the Paying Agent, as applicable, shall give all such notices and communications specified herein to be given to Holders to the Clearing Agency.

  • Upon the issuance of Definitive Environmental Trust Bonds, the Indenture Trustee shall recognize the Holders of the Definitive Environmental Trust Bonds as Holders hereunder without need for any consent or acknowledgement from the Holders.

  • Definitive Environmental Trust Bonds will be transferable and exchangeable at the offices of the Environmental Trust Bond Registrar.

  • Until so delivered in exchange, the Temporary Environmental Trust Bonds shall in all respects be entitled to the same benefits under this Indenture as Definitive Environmental Trust Bonds.

  • Definitive Notes has the meaning specified in Section 2.10.

  • Definitive Capital Securities means any Capital Securities in definitive form issued by the Trust.

  • Definitive Preferred Securities Certificates means Preferred Securities issued in certificated, fully registered form that are not Global Preferred Securities.

  • Definitive Trust Certificates shall have the meaning set forth in Section 3.10.

  • Definitive Certificate A Certificate of any Class issued in definitive, fully registered, certificated form.

  • Certificated Notes means permanent certificated Notes in registered form issued in minimum denominations of $1,000 principal amount and integral multiples of $1,000 in excess thereof.

  • Transfer Restricted Definitive Notes means Definitive Notes that bear or are required to bear or are subject to the Restricted Notes Legend.

  • Definitive Certificates As defined in Section 5.01(b).

  • Unrestricted Definitive Notes means one or more Definitive Notes that do not and are not required to bear the Private Placement Legend.

  • Definitive Warrant means a Warrant Certificate in definitive form that is not deposited with the Depositary or with the Warrant Agent as custodian for the Depositary.

  • Book-Entry Preferred Securities Certificates means a beneficial interest in the Preferred Securities Certificates, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 5.11.

  • Regulation S Temporary Global Certificate means, with respect to any Class of Certificates offered and sold outside of the United States in reliance on Regulation S, a single temporary global Certificate, in definitive, fully registered form without interest coupons.

  • Restricted Definitive Note means a Definitive Note bearing the Private Placement Legend.

  • Class A-S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-8 hereto.

  • Class A-8 Certificate Any one of the Certificates executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-8 and Exhibit C hereto.

  • Regulation S Temporary Global Security with respect to any series of Securities, means one or more temporary Global Securities, bearing the Private Placement Legend and the Regulation S Temporary Global Security Legend, issued in an aggregate amount of denominations equal in total to the outstanding principal amount of the Securities of such series initially sold, if required by Rule 903 of Regulation S.

  • Class A-6 Certificate Any one of the Certificates executed by the Trustee and authenticated by the Trustee or the Authenticating Agent in substantially the form set forth in Exhibit A-6 and Exhibit C hereto.

  • Rule 144A Global Certificates As defined in Section 5.02(c)(ii) of this Agreement.

  • Class S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-18 hereto and evidencing an undivided beneficial interest in the Class S Specific Grantor Trust Assets. The Class S Certificates have no Pass-Through Rate, Certificate Balance or Notional Amount.

  • Regulation S Global Certificates As defined in Section 5.02(c)(i) of this Agreement.

  • Preferred Security Beneficial Owner means, with respect to a Book Entry Interest, a Person who is the beneficial owner of such Book Entry Interest, as reflected on the books of the Clearing Agency, or on the books of a Person maintaining an account with such Clearing Agency (directly as a Clearing Agency Participant or as an indirect participant, in each case in accordance with the rules of such Clearing Agency).

  • Rule 144A Global Notes has the meaning set forth in Section 2.16.

  • Global Certificates Any Certificate registered in the name of the Depository or its nominee.

  • Capital Securities Certificate means a certificate evidencing ownership of Capital Securities, substantially in the form attached as Exhibit D.
