Related to Delaying Ownership Group

  • Controlling ownership interest means ownership of or entitlement to more than twenty-five percent of shares or capital or profits of the company;

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Principal Member means the person who signs the application and is responsible for the payment of premiums.

  • Qualifying Owners means GIP and its Subsidiaries.

  • Potential Beneficial Owner means a customer of a Broker-Dealer or a Broker-Dealer that is not a Beneficial Owner of APS but that wishes to purchase such shares, or that is a Beneficial Owner that wishes to purchase additional APS.

  • Participating Entity Any Subcontractor or Subservicer which is “participating in the servicing function” within the meaning of Item 1122 of Regulation AB; provided, further, for the purposes of the third paragraph of Section 7.04(c), that a “Participating Entity” shall be determined without respect to any threshold limitations in Instruction 2. to Item 1122 of Regulation AB. Person: Any individual, corporation, partnership, limited liability company, joint venture, association, joint-stock company, trust, unincorporated organization, government or any agency or political subdivision thereof.

  • Founding Member means any individual who is either:

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Trading Member means a Person who has been approved by Nadex to trade directly and not through a FCM Member on the Market, and does not include any FCM Member.

  • Competing Entity means any business entity engaged in the development, design, manufacture, marketing, distribution or sale of molecular diagnostic products.

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Partnership Group Member means any member of the Partnership Group.

  • Service member means a member of the armed forces, a reserve branch of the armed forces, or the Michigan national guard.

  • Contributing Employer means any employer other than a reimbursing employer or rated governmental employer.

  • Disposing Member is defined in Section 4.1.

  • Transferring Member shall have the meaning set forth in Section 7.2(a).

  • Panel Member ’ means a member of a panel;

  • Contributing Member shall have the meaning set forth in Section 3.2(b).

  • Voting Member means a Member holding one or more Voting Shares.
