Qualifying Owners means (i) Xxxxx Xxxxxx, or any company of which he is the manager, managing member or he otherwise controls, including, but not limited to, Cactus WH Enterprises, LLC, (ii) any wife, lineal descendant, legal guardian or other legal representative or estate of Xxxxx Xxxxxx; (iii) any trust of which at least one of the trustees is a person described in clause (i) or (ii) above, and (iv) Cadent Energy Partners II, L.P. and any affiliated funds or investment vehicles managed by Cadent Energy Partners, LLC.

Qualifying Owners means, collectively, (i) any of the owners of the General Partner as of the Issue Date and their respective Affiliates, trustees, beneficiaries or the heirs or family members thereof, including The Heritage Group, Xxxxxxxx Xxxxx Straumins, Xxxxxxx X. Qualifying Owners means each of: (i) Wexford Capital, LLC and any Affiliated funds and investment vehicles and holding companies directly or indirectly owned, controlled or managed by Wexford Capital, LLC or any other Person that is a Qualifying Owner or (ii) any general partner, managing member or managing partner of any of the Persons described in clause (i) above.
