Qualifying Owners means GIP and its Subsidiaries.

Qualifying Owners means, collectively, the Company and Restricted Subsidiaries.

More Definitions of Qualifying Owners

Qualifying Owners means, collectively, (i) any of the owners of the General Partner as of the Issue Date and their respective Affiliates, trustees, beneficiaries or the heirs or family members thereof, including The Heritage Group, Xxxxxxxx Xxxxx Straumins, Xxxxxxx X. Xxxxx, Irrevocable Intervivos Trust No. 12.27.73 for the Benefit of Xxxx Xxxxxxx Xxxxxxxxxx, Xx. and his issue, dated December 18, 2012 and Xxxxxx Xxxxxxxxxx Trust No. 000 00.00.00 for the Benefit of Xxxx Xxxxxxx Xxxxxxxxxx, Xx. and his issue, dated December 18, 2012 and (ii) any Person that becomes a direct or indirect parent entity of the General Partner or the Company, as applicable, in connection with a Corporate Conversion.

Qualifying Owners means (i) prior to the closing of the GIP Transaction, Devon and its Subsidiaries, and (ii) from and after the closing of the GIP Transaction, GIP and its Subsidiaries.

Xxxxxxx, or any company of which he is the manager, managing member or otherwise controls, including, but not limited to, Solaris Energy Capital, LLC, (ii) any wife, lineal descendant, legal guardian or other legal representative or estate of the principal member named in clause (i) above; (iii) any trust of which at least one of the trustees is a person described in clauses (i) or (ii) above, (iv) Yorktown Energy Partners X, L.P. and any affiliated funds or investment vehicles managed by Yorktown Partners LLC, (v) Loadcraft Site Services, LLC, (vi) any affiliated funds or investment vehicles managed by any of the persons described in clauses (iv) or (v) above, and (vii) any general partner, managing member, principal or managing director of any of the persons described in clauses (iv) or (v) above.

Qualifying Owners means each of: (i) Wexford Capital, LLC and any Affiliated funds and investment vehicles and holding companies directly or indirectly owned, controlled or managed by Wexford Capital, LLC or any other Person that is a Qualifying Owner or (ii) any general partner, managing member or managing partner of any of the Persons described in clause (i) above.

Qualifying Owners means each of: (i) Diamondback Energy, Inc., any Subsidiary thereof, any Affiliated holding companies directly or indirectly owned, controlled or managed by Diamondback Energy, Inc. or any other Person that is a Qualifying Owner or (ii) any stockholder, director or officer of any of the Persons described in clause (i) above.
