Departing Employee definition

Departing Employee if such individual: (i) shall have ceased to be employed by the Company or any Subsidiary of the Company prior to the Effective Time; (ii) shall have expressed an intention to decline to accept employment with Parent; or (iii) shall have expressed an intention to discontinue (prior to, at or after the Closing) his or her employment with Parent or any Acquired Corporation.
Departing Employee means any employee who receives an offer of employment in accordance with Section 5.9(d) but does not become a Continuing Employee, and as a result, has terminated employment or service with the Company or a Subsidiary on or prior to the Effective Time.
Departing Employee means an employee of a Fortune Brands Party listed on Exhibit A who will retire or be involuntarily terminated as a result of the Distribution.

More Definitions of Departing Employee

Departing Employee means a Class A Limited Partner whose employment by an Employing Entity terminates, whether voluntarily or involuntarily, without immediate re-employment by another Employing Entity, during the Early Departure Period other than by reason of death or disability.
Departing Employee if such individual: (i) shall have ceased to be employed by the Company or any Subsidiary of the Company; (ii) shall have expressed, to any director or the Chief Executive Officer or Chief Financial Officer of the Company or any director or executive officer of Parent, an intention to decline to accept employment with Parent; or (iii) shall have expressed, to any director or the Chief Executive Office or Chief Financial Officer of the Company or any director or executive officer of Parent, an intention to discontinue (prior to, at or promptly after the Closing) his or her employment with Parent or any Acquired Corporation.
Departing Employee means:- (a) any employee of the Company or any subsidiary of the Company who ceases to be an employee of the Company or any subsidiary of the Company (including, for the avoidance of doubt, any person who ceases to be an employee of a subsidiary of the Company by reason of the sale by the Company of the subsidiary or subsidiaries of which that person is an employee); or
Departing Employee means an Employee who ceases to be a Director or employee of any Group Company and who does not continue as, or become, a Director or employee of any other Group Company;
Departing Employee means any employee or director of the Company or any of its Affiliate companies who shall (i) for any reason, cease to be a director or employee of the Company or any of its Affiliate companies or any individual whose services are otherwise provided to the Company or any of its Affiliates whose services cease to be provided to the Company or any of its Affiliate companies, or (ii) upon the business of the company of which he is a director or employee being sold by the Company or such Affiliate company, or upon the Affiliate company of which he is a director or employee being sold by the Company and, in any such case, cease to be a director or employee of either the Company or any of its then remaining Affiliate companies;
