Derivative Compound means a chemical compound structurally derived in one or more steps from another by a process of modification or partial substitution of at least one component wherein at least one structural feature is retained at each process step. The number of intermediate steps or compounds is not relevant to the classification of a compound as a Derivative Compound. A compound need not have structural similarity to another compound in order to be classified as a Derivative Compound.
Derivative Compound means, with respect to a Cephalon Library Compound, a compound that was derived by or on behalf of Ambit from such Cephalon Library Compound (whether from the Cephalon Library Compound or from a predecessor compound that is derived from a Cephalon Library Compound), or derived or synthesized by or on behalf of Ambit from Cephalon’s Confidential Information covering the structure or identity of the Cephalon Library Compound.

Derivative Compound means a chemical compound that was (i) structurally derived from a parent compound in one or more steps from another by a process of modification or partial substitution of at least one component wherein at least one structural feature is retained at each process step or (ii) actually derived from a parent compound using information obtained from testing one or more parent compounds. The number of intermediate steps or compounds is not relevant to the classification of a compound as a Derivative Compound. A compound need not have structural similarity to the parent compound in order to be classified as a Derivative Compound.
Derivative Compound means a compound which is derived from a Selected Compound or a Lead Compound by or on behalf of SPL, or by NeoGenesis in performance of medicinal chemistry optimization pursuant to Section 2.2(b), and having activity against the same Target as such Selected Compound and/or Lead Compound. A compound will be deemed to have been "derived" from a Selected Compound or a Lead Compound if it (i) is the result of a chemical modification made to a Selected Compound or Lead Compound, (ii) is otherwise derived from a chemical synthesis program based upon a Selected Compound or Lead Compound, or (iii) is based on proprietary structure-function data obtained from Selected Compounds or Lead Compounds.
