Derivative Investigation definition

Derivative Investigation means after receipt by any Insured of a Claim that is either a derivative lawsuit or a Derivative Demand, any investigation conducted by the Company, or on behalf of the Company by its board of directors (or the equivalent management body) or any committee of the board of directors (or equivalent management body), as to how the Organization should respond.
Derivative Investigation means an internal inquiry or investigation undertaken by the Insured specifically and solely to determine how the Company should respond to a Derivative Demand received by an Insured or a Derivative Claim received by an Insured Person.
Derivative Investigation means an internal inquiry or investigation undertaken by the Company or on behalf of the Company by its board of directors or the supervisory body or any other similar body under other relevant legal regulations as to how the Company should respond to a Derivative Demand received by an Insured or a Derivative Suit received by a Director or Officer. Derivative Investigation shall not include any routine or regularly scheduled regulatory or internal supervision, inspection, compliance, review, examination, production or audit, including any routine or regularly scheduled obligation of any Company to provide information, conducted in a Company’s and/or Official Body’s normal review or compliance process.

  • The Insurer shall pay on behalf of the Company Derivative Investigation Costs for which the Company becomes legally obligated to pay in response to a Derivative Demand first received, or a derivative lawsuit first made on behalf of the Company during the Policy Period or any applicable Extended Reporting Period.

  • Site investigation means the collection and evaluation of data adequate to determine whether or not discharged contaminants exist at a site or have migrated or are migrating from the site at levels in excess of the applicable remediation standards. A site investigation shall be developed based upon the information collected pursuant to the preliminary assessment;
