Designated Earlier Maturing Debt definition

Designated Earlier Maturing Debt means (x) any (i) Incremental Term Loans, (ii) Incremental Equivalent Debt, (iii) Credit Agreement Refinancing Indebtedness (other than Other Revolving Commitments) and/or (iv) other Indebtedness, in each case, incurred to consummate a Permitted Acquisition or other Investment not prohibited by this Agreement and (y) any (i) Incremental Term Loans, (ii) Incremental Equivalent Debt, (iii) Credit Agreement Refinancing Indebtedness (other than Other Revolving Commitments) and/or (iv) other Indebtedness designated by Bidco to the Administrative Agent that has a maturity date earlier than the Term Maturity Date and/or a shorter Weighted Average Life to Maturity than the remaining Amendment No. 1 Refinancing Term Loans; provided that at the time of any incurrence of such Indebtedness pursuant to this clause (y), the aggregate principal amount of all such Indebtedness shall not exceed the greater of (x) $750,000,000 and (y) Consolidated EBITDA for the most recently ended Test Period as of such date, calculated on a Pro Forma Basis.
Designated Earlier Maturing Debt means any (i) Incremental Facility, (ii) any Permitted Credit Agreement Refinancing Debt and/or (iii) other Indebtedness designated by the Borrower to the Administrative Agent that has a maturity date earlier than the Maturity Date and/or a shorter Weighted Average Life to Maturity than the remaining Replacement 2023 Term B Loans; provided that at the time of any incurrence of such Indebtedness, the aggregate principal amount of all such Indebtedness shall not exceed $55,000,000. “Designated Non-Cash Consideration”: the Fair Market Value of non-cash consideration received by the Company Borrower or one of its Restricted Subsidiaries in connection with an Asset Sale that is designated as Designated Non-Cash Consideration pursuant to an Officer’s Certificate, setting forth the basis of such valuation, less the amount of Cash Equivalents received in connection with a subsequent sale of or collection on such Designated Non-Cash Consideration. “Designated Preferred Stock”: Preferred Stock of the Company Borrower or any direct or indirect parent of the Company Borrower, as applicable (other than Disqualified Stock), that is issued for cash (other than to the Company Borrower or any of the Subsidiaries or an employee stock ownership plan or trust established by the Company Borrower or any of the Subsidiaries) and is so designated as - 25-

Related to Designated Earlier Maturing Debt

  • Initial Maturity Date means the earlier of (i) December 1, 2015 (the "Scheduled Initial Maturity Date"), and (ii) the date on which the unpaid principal balance of this Note becomes due and payable by acceleration or otherwise pursuant to the Loan Documents or the exercise by Lender of any right or remedy thereunder.

  • Final Maturity Date means March 31, 2022.
