The Servicer shall not take any action, nor omit to take any action, which would materially impair the rights of the Borrower, the Lender or the Collateral Agent in any Designated Receivable, nor shall it reschedule, revise or defer payments due on any Designated Receivable, except in accordance with the Collection Policies and Procedures.
As the collection agent for the Receivables, subject to its obligations hereunder, Collection Agent shall have the authority and discretion to settle and compromise on the amount due under any Designated Receivable; provided, however, that the Collection Agent must obtain the prior consent of the Trustee, whichconsent shall not be withheld unreasonably, with respect to any proposed compromise of an account receivable in the face amount of $100,000 or more by more than 20% of the stated balance.

As of the applicable Purchase Date, the related Specification, all other data, materials and information provided by the Seller to the Purchaser with respect to each Designated Receivable, each relevant Obligor and each relevant Contract is true and correct in all material respects.
