Each receiving Party will instruct all such employees not to disclose such Confidential Information and/or Disclosed Material to third parties, including consultants, without the prior written permission of the disclosing Party.
Each receiving Party may disclose the disclosing party’s Confidential Information and/or Disclosed Material to those of its and its affiliates’ and subsidiaries’ employees, officers, directors, consultants and agents (collectively “Representatives”) who in each case have a bona fide need to know, but only to the extent necessary to carry out the discussions and evaluations purpose of this Agreement.
If any part of the Confidential Information and/or Disclosed Information has been prior to, or is after, the Effective Date disclosed in a United States patent issued to the Party furnishing the Confidential Information and/or Disclosed Material hereunder, then after the issuance of such patent, the limitations on such Confidential Information and/or Disclosed Material as is disclosed in the patent will be only those afforded by United States patent laws.
Confidential Information and/or Disclosed Material, if reproduced in whole or in part in accordance with this Agreement, will bear a proprietary notice at least similar to that with which the information is submitted to the receiving Party by the disclosing Party.
