Examples of Disclosed Material in a sentence

  • Each receiving Party will instruct all such employees not to disclose such Confidential Information and/or Disclosed Material to third parties, including consultants, without the prior written permission of the disclosing Party.

  • Each receiving Party may disclose the disclosing party’s Confidential Information and/or Disclosed Material to those of its and its affiliates’ and subsidiaries’ employees, officers, directors, consultants and agents (collectively “Representatives”) who in each case have a bona fide need to know, but only to the extent necessary to carry out the discussions and evaluations purpose of this Agreement.

More Definitions of Disclosed Material

Disclosed Material means any information furnished by one party to the other or any of its Representatives in whatever form or medium provided, whether prior to or after the date hereof, and any notes, memoranda, summaries, analyses, and other materials relating thereto or based thereon prepared by the receiving party or its Representatives but shall not include information which (i) is already in the receiving party's possession, (ii) is or becomes generally available to the public (other than as a result of disclosure by the receiving party or its Representatives), or (iii) is or becomes available to the receiving party on a nonconfidential basis from a source other than the other party or its Representatives, provided that such source is not under an obligation (whether contractual, legal or fiduciary) to the disclosing party to keep such information confidential. Other than materials prepared by the receiving party or its Representatives and relating to or based on Disclosed Material received by it, all Disclosed Material shall be disclosed to the receiving party in writing identifying it as confidential, or if first orally or visually disclosed, shall be identified as confidential in a writing delivered to the receiving party within (***) of such disclosure.

Related to Disclosed Material

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;
