Disclosed Material definition

Disclosed Material means information produced, or to which access is given, under a disclosure agreement; 30
Disclosed Material has the meaning as set forth in Section 1.1.6.

  • Each receiving Party will instruct all such employees not to disclose such Confidential Information and/or Disclosed Material to third parties, including consultants, without the prior written permission of the disclosing Party.

More Definitions of Disclosed Material

Disclosed Material means any information furnished by one party to the other or any of its Representatives in whatever form or medium provided, whether prior to or after the date hereof, and any notes, memoranda, summaries, analyses, and other materials relating thereto or based thereon prepared by the receiving party or its Representatives but shall not include information which (i) is already in the receiving party's possession, (ii) is or becomes generally available to the public (other than as a result of disclosure by the receiving party or its Representatives), or (iii) is or becomes available to the receiving party on a nonconfidential basis from a source other than the other party or its Representatives, provided that such source is not under an obligation (whether contractual, legal or fiduciary) to the disclosing party to keep such information confidential. Other than materials prepared by the receiving party or its Representatives and relating to or based on Disclosed Material received by it, all Disclosed Material shall be disclosed to the receiving party in writing identifying it as confidential, or if first orally or visually disclosed, shall be identified as confidential in a writing delivered to the receiving party within (***) of such disclosure.
Disclosed Material means the written materials, including documents, CLIFFE DEKKE Page 7 agreements, financial information and written correspondence described in annexe “E”;
Disclosed Material means (a) with respect to the Seller Parties, New Topco and the Company (i) the materials and information available to FPAC and its Representatives in the Data Room as of 6:00 pm EST on January 14, 2020, (ii) the materials and information in or annexed to the Schedules, including any general or deemed disclosures, and (iii) the contents of the Transaction Documents, and (b) with respect to FPAC (i) in the FPAC SEC Reports filed or furnished by FPAC prior to the date hereof (excluding any disclosures in such FPAC SEC Reports under the headingsRisk Factors” or “Quantitative and Qualitative Disclosures About Market Risk” and other disclosures that are predictive, cautionary or forward looking in nature), (ii) the materials and information in or annexed to the Schedules, including any general or deemed disclosures, and (iii) the contents of the Transaction Documents.

Related to Disclosed Material

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;

  • Disclosed means fairly disclosed (with sufficient details to identify the nature and scope of the matter disclosed) in or under the Disclosure Letter or the Supplementary Disclosure Letter, as appropriate;

  • SEC Documents shall have the meaning specified in Section 4.5.

If and to the extent any Confidential Material is included in any report, assessment, diagram, memorandum or other document or copied or reproduced in any other form or medium, such report, assessment, diagram, memorandum, document or Confidential Material in such other form or medium will be deemed to be Confidential Material.

  • Material means material in relation to the business, operations, affairs, financial condition, assets or properties of the Company and its Subsidiaries taken as a whole.

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).
