If GS notifies the Board in writing of any Disputed Calculations within the aforementioned five (5) business day period, such disagreement shall be resolved pursuant to Section 4.5(b)(iii).

For example, if the Seller claims the collective value of the Disputed Calculations is $1,000 greater than the amount determined by Company, and the Company contests only $500 of the amount claimed by the Seller, and if the Independent Accounting Firm ultimately resolves the dispute by awarding the Seller $300 of the $500 contested, then the Independent Accounting Firm’s fees and expenses shall be allocated 60% (i.e. 300/500) to Company and 40% (i.e. 200/500) to the Seller.
If the Company and the Seller do not resolve all Disputed Calculations by the end of thirty (30) days after the date of delivery of the Deferred Payment Calculation Dispute Notice, then the Company and the Seller will submit the remaining Disputed Calculations to the Independent Accounting Firm for resolution.
