Divestment Businesses definition

Divestment Businesses means as the case may be one or more of the Wales Divestment Business, the Norfolk Divestment Business and/or the Luton Divestment Business (each a “Divestment Business”);
Divestment Businesses means the Needingworth Divestment Business and the Aggregates and RMX Divestment Package;
Divestment Businesses means each of the following Avanta serviced office centres and centre level employees subject to transfer under TUPE: (i) 1 Lyric Square (W6 0NB); (ii) 83 Victoria Street (SW1H 0HW)); (iii) Merchant Square (W2 1AY); (iv) Evergreen House North (NW1 2DX); and (v) 5 Harbour Exchange (E14 9GE);

Examples of Divestment Businesses in a sentence

  • CGL shall, using its best endeavours and acting in good faith, as soon as reasonably practicable, effect to the satisfaction of the OFT the divestment of each of the Stage Two Divestment Businesses as a going concern by the end of the Divestment Period to a purchaser or purchasers approved by the OFT in accordance with the provisions of these undertakings.

  • IDH or ADP as the case may be shall, prior to acceptance of these undertakings by the OFT, enter into legally binding agreements to divest, to the satisfaction of the OFT, each of the Divestment Businesses, as a going concern, to the relevant Divestment Purchaser approved by the OFT.

  • The provisions of paragraphs 5.2 to 5.7 below shall apply only as long as CGL has not satisfied, or where the OFT has reasonable grounds for believing that CGL will not satisfy, all or any part of the obligation to divest each of the Stage Two Divestment Businesses in accordance with paragraphs 3.1, 3.2, 3.3 and 3.5 above.

  • Asda shall, using its best endeavours and acting in good faith, as soon as reasonably practicable, effect to the satisfaction of the OFT the divestment of each of the Stage Two Divestment Businesses as a going concern by the end of the Divestment Period to a purchaser or purchasers approved by the OFT in accordance with the provisions of these undertakings.

  • The Trustee shall seek to procure, within such period as may be specified in writing by the OFT, the completion of the sale of the Divestment Businesses at no minimum price, to a purchaser or purchasers approved by the OFT in accordance with paragraph 9.3 below.

Divestment Businesses means the Needlecraft Business and the Genealogy Business, save that if one of the Needlecraft Business or the Genealogy Business has been divested, the Divestment Businesses shall only include the remaining business that has not been divested;
