Dividend Equivalent Adjustment definition

Dividend Equivalent Adjustment means, with respect to the RTSR Performance Units covered by this Award Agreement, a number of Dividend Equivalents determined as provided in Section 6(c), which is added to the Unadjusted Share Distribution Amount to reflect cash dividend amounts paid to the Company’s common shareholders during the Performance Period on the Shares determined to be included in the Unadjusted Share Distribution Amount.
Dividend Equivalent Adjustment means, with respect to the Integration Performance Units covered by this Award Agreement, a number of Dividend Equivalents determined as provided in Section 6(c), which is added to the Unadjusted Share Distribution Amount to reflect cash dividend amounts paid to the Company’s common shareholders during the Performance Period on the Shares determined to be included in the Unadjusted Share Distribution Amount.

Examples of Dividend Equivalent Adjustment in a sentence

  • Except as otherwise provided for in this Award Agreement, a Dividend Equivalent Adjustment shall be added to the Unadjusted Share Distribution Amount in order to determine the number of Shares constituting the Adjusted Share Distribution Amount.

  • The Dividend Equivalent Adjustment shall be a number of ROATCE Performance Units equal to the number of ROATCE Performance Units that would have resulted if each cash dividend paid during the Performance Period on the Shares included in the Unadjusted Share Distribution Amount had been reinvested in Shares.

  • The Dividend Equivalent Adjustment shall be a number of RTSR Performance Units equal to the number of RTSR Performance Units that would have resulted if each cash dividend paid during the Performance Period on the Shares included in the Unadjusted Share Distribution Amount had been reinvested in Shares.

  • The Dividend Equivalent Adjustment shall be a number of Integration Performance Units equal to the number of Integration Performance Units that would have resulted if each cash dividend paid during the Performance Period on the Shares included in that Unadjusted Share Distribution Amount had been reinvested in Shares.

  • As with the prior year calculation, that 300 Incrementally Achieved Integration Performance Unit/Unadjusted Share Distribution amount would be increased for the Dividend Equivalent Adjustment on the related 300 Shares, and the resulting Adjusted Share Distribution Amount would be further reduced for tax withholding and any downward rounding to avoid the distribution of fractional shares.

  • Except as otherwise provided for in this Award Agreement, a Dividend Equivalent Adjustment shall be added to any Unadjusted Share Distribution Amount in order to determine the number of Shares constituting the Adjusted Share Distribution Amount in connection with any certified Performance Goal attainment.

Related to Dividend Equivalent Adjustment

  • Dividend Equivalent means a right to receive the equivalent value (in cash or Shares) of dividends paid on Shares, awarded under Section 9.2.

  • Dividend Equivalent Right means an Award entitling the grantee to receive credits based on cash dividends that would have been paid on the shares of Stock specified in the Dividend Equivalent Right (or other award to which it relates) if such shares had been issued to and held by the grantee.

  • Dividend Equivalents means a right granted to a Participant under the Plan to receive the equivalent value (in cash or Shares) of dividends paid on Shares.

  • Phantom Share means a right, pursuant to the Plan, of the Grantee to payment of the Phantom Share Value.

  • Share Unit means either an RSU or a PSU, as the context requires.

  • Stock Unit means a bookkeeping entry representing the equivalent of one Share, as awarded under the Plan.

  • Performance Share means an Award denominated in Shares which may be earned in whole or in part upon attainment of performance goals or other vesting criteria as the Administrator may determine pursuant to Section 10.
