Domestic CD Rate definition

Domestic CD Rate means, with respect to any Interest Period for any Domestic CD Loan, the rate of interest determined by the Relevant Bank to be the average (rounded upward, if necessary, to the nearest 1/100 of 1%) of the rates quoted to the Relevant Bank on the first day of such Interest Period by two certificate of deposit dealers in New York of recognized standing selected by the Relevant Bank for the purchase from the Relevant Bank or major commercial banks at face value of certificates of deposit issued by the Relevant Bank in an amount equal or comparable to the amount of the Domestic CD Loan and having a maturity equal to such Interest Period; provided, that, if such quotations from such dealers are not available to the Relevant Bank, it shall determine a reasonably equivalent rate on the basis of another source or sources selected by it.
Domestic CD Rate means, with respect to such Interest Period, the rate of interest determined by the Agent to be the average (rounded upwards, if necessary, to the nearest 1/100 of 1%) of the bid rates quoted to the Agent in the secondary market at approximately 11:00 a.m., New York City time (or as soon thereafter as practicable), on the first day of such Interest Period by two certificate of deposit dealers in New York of recognized standing selected by the Agent in its sole discretion for the purchase from the Agent at face value of certificates of deposit issued by the Agent in an amount approximately equal or comparable to such Rate Tranche and having a maturity equal to such Interest Period.
Domestic CD Rate means, with respect to any Yield Period for any related Undivided Interest (or portion thereof), a rate of interest equal to the average of the secondary market morning offering rates in the United States for time certificates of deposit of major United States money market banks for a period approximately equal to such Yield Period in an amount substantially equal to the Purchaser's Investment of the related Undivided Interest (or such portion), as such offering rate is quoted to the Administrative Agent by the Federal Reserve Bank of New York during the morning of the first day of such Yield Period; provided, however, that if the Administrative Agent shall not receive any such quote by the Federal Reserve Bank of New York by 10:00 a.m., Chicago time, on the morning of the first day of any Yield Period, then "Domestic CD Rate" shall mean, with respect to such Yield Period, the rate of interest determined by the Administrative Agent to be the average (rounded upwards, if necessary, to the nearest 1/100 of 1%) of the bid rates quoted to the Administrative Agent in the secondary market at approximately 10:00 a.m., Chicago time (or as soon thereafter as practicable), on the first day of such Yield Period by two certificate of deposit dealers in New York or Chicago of recognized standing selected by the Administrative Agent in its sole discretion for the purchase from the Administrative Agent at face value of certificates of deposit issued by the Administrative Agent in an amount approximately equal or comparable to the amount of the related Purchaser's Investment and having a maturity equal to such Yield Period.
