CD Rate Advance definition

CD Rate Advance means a Revolving Credit Advance that bears interest as provided in Section 2.07(a)(iii).
CD Rate Advance means an Advance made or outstanding as a Revolving Loan, a Line of Credit Loan or a Term Loan, as the case may be, bearing interest based on the CD Rate.
CD Rate Advance means any Advance denominated in Dollars upon which interest will accrue based on the CD Rate.

  • The Borrower shall give the Administrative Agent notice (a "Committed Borrowing Notice") not later than 10:00 a.m. (Chicago time) on the Borrowing Date of each Floating Rate Advance, two Business Days before the Borrowing Date of each Fixed CD Rate Advance, three Business Days before the Borrowing Date for each Eurocurrency Committed Advance denominated in Dollars and five Business Days before the Borrowing Date for each Eurocurrency Committed Advance denominated in an Alternative Currency.

  • The Borrower shall give the Administrative Agent irrevocable notice (a "Ratable Borrowing Notice') not later than 10:00 a.m. (Chicago time) (or 10:15 a.m. (Chicago time) if applicable under the next succeeding sentence), (x) on the Borrowing Date of each Floating Rate Advance, (y) at least one Business Day prior to the Borrowing Date of each Fixed CD Rate Advance and (z) at least three Business Days prior to the Borrowing Date of each Eurodollar Ratable Advance.

  • In the case of any such prepayment of an Adjusted CD Rate Advance, Eurodollar Rate Advance or a B Advance, the Borrower shall be obligated to reimburse the Lender(s) in respect thereof pursuant to Section 8.04(b).

  • Upon such Payment Date such CD Rate Advance will, subject to the provisions hereof, be so repaid and, as applicable, reborrowed.

  • The "Assessment Rate" for the Interest Period for each Adjusted CD Rate Advance comprising part of the same A Borrowing means the annual assessment rate estimated by the Agent on the first day of such Interest Period for determining the then current annual assessment payable by the Agent to the Federal Deposit Insurance Corporation (or any successor) for insuring U.S. dollar deposits of the Agent in the United States.


More Definitions of CD Rate Advance

CD Rate Advance. An Advance with respect to which the interest rate is determined by reference to the Adjusted CD Rate.
CD Rate Advance means a Revolving Credit Advance which the Borrower --------------- requests to be made and to bear interest at the CD Rate or which is reborrowed as a Revolving Credit Advance bearing interest at the CD Rate, in accordance with the provisions of Section 2.2 hereof, and which shall be in a principal ----------- amount of at least $5,000,000 and in an integral multiple of $1,000,000, except for a CD Rate Advance which is in an amount equal to the unused amount of the Commitment, which Revolving Credit Advance may be in such amount.

CD Rate Advance outstanding under the Existing Credit Agreement shall become a Reference Rate Advance, a Floating Eurodollar Rate Advance, a Fixed Eurodollar Rate Advance or a CD Rate Advance, respectively, hereunder (and, with respect to Fixed Eurodollar Rate Advances and CD Rate Advances, the "Interest Periods" in effect under the Existing Credit Agreement shall remain in effect). On the terms and subject to the conditions hereof, the Bank agrees to make a revolving credit facility available as loans (each, a "Revolving Loan" and, collectively, the "Revolving Loans") to the Borrower on a revolving basis at any time and from time to time from the Closing Date to the Termination Date, during which period the Borrower may borrow, repay and reborrow in accordance with the provisions hereof, provided, that no Revolving Loan will be made in any amount which, after giving effect thereto, would cause the Total Outstandings to exceed the Commitment Amount. Revolving Loans may be obtained and maintained, at the election of the Borrower but subject to the limitations hereof, as Reference Rate Advances, Floating Eurodollar Rate Advances, Fixed Eurodollar Rate Advances or CD Rate Advances.
CD Rate Advance means a U.S. Advance that bears interest as provided in Section 2.06(a)(iii).
CD Rate Advance. An Advance designated as such in a notice of borrowing under Section 2.2(f)(iii) or a notice of continuation or conversion under Section 2.2(f)(iv).
