Domestic Guarantor definition

Domestic Guarantor means each Guarantor that is a Domestic Subsidiary.
Domestic Guarantor means any Guarantor that is organized under the laws of any political subdivision of the United States.
Domestic Guarantor shall have the meaning set forth in the preamble of this Agreement.

  • Subject to the terms and conditions of this Agreement, during the Commitment Period, the Fronting Lender shall, in its own name, on behalf of the Lenders, issue such Letters of Credit for the account of US Borrower or a Domestic Guarantor of Payment, as Administrative Borrower may from time to time request.

  • The Domestic Guarantors hereby agree as among themselves that, in connection with payments made hereunder, each Domestic Guarantor shall have a right of contribution from each other Domestic Guarantor in accordance with applicable Law.

  • Notwithstanding the foregoing, it is understood and agreed that if required by the Notes Documents the US Borrower shall cause additional Domestic Guarantor Subsidiaries to execute counterparts of this Agreement acknowledging and agreeing to the terms hereof and thereafter each such Domestic Guarantor Subsidiary will be treated as a US Subsidiary Guarantor hereunder.


More Definitions of Domestic Guarantor

Domestic Guarantor means (a) the Company and the Parent, (b) the parties identified on the signature pages hereto as "Domestic Guarantors" and (c) each Person who after the Closing Date becomes a Domestic Guarantor pursuant to a Guarantor Joinder Agreement or other documentation in form and substance reasonably acceptable to the Administrative Agent, in each case together with their respective successors and permitted assigns.
Domestic Guarantor means any Original Domestic Guarantor and any Additional Domestic Guarantor.
Domestic Guarantor means, collectively, (a) each Domestic Borrower (with respect to Credit Extensions made to and other Obligations owing by the other Borrowers), (b) each Domestic Subsidiary identified as a “Domestic Guarantor” on the signature pages hereto and (c) each other Person that provides a guaranty of the Obligations after the Closing Date pursuant to Section 7.12, together with their successors and permitted assigns.
Domestic Guarantor means each Domestic Subsidiary (other than a Domestic Borrower) which is (a) designated on Schedule 1.01.2 or (b) required under Section 9.07 to be a party to a Domestic Borrower Guaranty and/or a Multicurrency Borrower Guaranty.
Domestic Guarantor means each Domestic Subsidiary of GFI that is a Material Subsidiary identified on the signature pages hereto as a “Domestic Guarantor” and each other Person that joins as a Domestic Guarantor of the Obligations pursuant to Section 7.12, together with their respective successors and permitted assigns.
Domestic Guarantor means each of Company and each Wholly-Owned Domestic Subsidiary of Company from time to time party to this Guaranty.
Domestic Guarantor means Open Text and each Subsidiary of Open Text (other than any Excluded Subsidiaries) organized under the laws of Canada or of a jurisdiction located within Canada or the United States or which has otherwise executed the Domestic Guarantee, in each case, in its capacity as a guarantor under the Domestic Guarantee.
