EarlyWorks Services definition

EarlyWorks Services means the products and services made available by us via your customer login and/or other web pages designated by us, and any other software application developed by us and modified by us from time to time, including any associated offline or on-premises components, application or executables (if applicable);
EarlyWorks Services as further defined below). EarlyWorks is the owner of copyright, trade secrets, trade marks and other Intellectual Property Rights in or related to such software and system.

  • If you, a third party acting on your behalf, or a User creates applications or program code using the EarlyWorks Services or Software, you authorise Us to host, copy, transmit, display and adapt such applications and program code, solely as necessary for us to provide the EarlyWorks Services in accordance with this Agreement, and further assign, or procure the assignment of any Intellectual Property Rights in any applications or program code using the EarlyWorks Services or Software to us.

  • Apart from the warranties made in clause 10.1, no other warranties are provided by us to you whatsoever from the EarlyWorks Services supplied under this Agreement, or for any other software or other materials or documentation supplied and/or developed by us under this Agreement.

  • You may request improvement or modifications to the EarlyWorks Services at any time.

  • We do not warrant or represent that the functions contained in the EarlyWorks Services or associated documentation (if any) will meet your requirements.

  • Throughout the Term of this Agreement, we may (at our sole discretion) perform additional development works or modifications to the EarlyWorks Services.

  • We will make the EarlyWorks Services available to you pursuant to this Agreement during a subscription term.

  • You acknowledge that this Licence is non-exclusive and that we may grant similar Licences with respect to the EarlyWorks Services to any third party at any time at our sole discretion.

  • From 2007–2008 to 2008–2009, there was an increase in the percentage of all teachers (Categories A–F) that received an ASPIRE Award by 2.1 percentage points.• The average payout for core teachers (Categories A–E) increased from $2,666.68 in 2006–2007 to$3,615.58 in 2008–2009.

  • You must notify us if any defect is found to exist in the Software or the EarlyWorks Services provided by us.

  • You acknowledge that you have exercised your own independent judgment in acquiring the EarlyWorks Services and have not relied on any representation made by us which has not been stated expressly in this Agreement or upon any descriptions or illustrations or specifications contained in any document including publicity material produced by us.

Related to EarlyWorks Services

  • Products/Services means the goods/benefits/facilities offered by the Alliance Partner.

  • SaaS Services means software as a service consisting of system administration, system management, and system monitoring activities that Xxxxx performs for the Tyler Software, and includes the right to access and use the Tyler Software, receive maintenance and support on the Tyler Software, including Downtime resolution under the terms of the SLA, and Data storage and archiving. SaaS Services do not include support of an operating system or hardware, support outside of our normal business hours, or training, consulting or other professional services. • “SLA” means the service level agreement. A copy of our current SLA is attached hereto as Exhibit C.

  • Access Services refers to interstate and intrastate switched access and private line transport services.

  • Goods/Services means the goods and/or services detailed in the Purchase Order issued by Versuni Supplier; “Intellectual Property Rights” (or “IPR”) means all intellectual property rights of any nature applied for or existing anywhere in the world for their full term and together with any revivals, renewals or extensions. “Purchase Order” means the Versuni purchase order issued by Versuni to procure Goods/Services from the Supplier, to which these conditions are attached by reference;;

  • Wireless services means any services, provided using licensed or unlicensed spectrum, including the use of Wi-Fi, whether at a fixed location or mobile.

  • Personal wireless services means commercial mobile services, unlicensed wireless services, and common carrier wireless exchange access services, as defined by federal laws and regulations.

  • Online Services means Microsoft-hosted services to which Customer subscribes under this Agreement. It does not include software and services provided under separate license terms.

  • Wireless service provider means a person that provides wireless service to the public.

  • Hospice services means palliative and supportive care and other services provided by an interdisciplinary team under the direction of an identifiable hospice administration to terminally ill hospice patients and their families to meet the physical, nutritional, emotional, social, spiritual, and special needs experienced during the final stages of illness, dying, and bereavement, as defined in Minnesota Statutes, § 144A.75, subd. 8, and includes the set of services as determined by the Medicare program under §1861(dd) of the Social Security Act and defined in 42 CFR § 418.3.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Wireless services provider means a person who provides wireless services.

  • Professional sports services contract means an agreement under which an individual is employed, or agrees to render services, as a player on a professional sports team, with a professional sports organization, or as a professional athlete.

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Respite services means a temporary period of relief and support for individuals and their families provided in a variety of settings. The intent is to provide a safe environment with staff assistance for individuals who lack an adequate support system to address current issues related to a disability. Respite may be provided for a defined period of time; respite is either planned or provided in response to a crisis.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Network Services means the equipment, software, and services necessary to transmit voice, data, or video.

  • Voice Services means the telecommunications services to be provided to you under Part A and as specified in your Application.

  • Communications services means any service provided for the purpose of transmission of information including, but not limited to, voice, video, or data, without regard to the transmission protocol employed, whether or not the transmission medium is owned by the provider itself and whether or not the transmission medium is wireline. Communications service includes all forms of telephone services and voice, video, data or information transport, but does not include: (1) cable service; (2) open video system service, as defined in 47 C.F.R. 76; (3) private communications system services provided without using the public rights of way or private communications system services that use the public rights of way without imposing any additional burden on the public rights of way; (4) over-the-air radio or television broadcasting to the public-at-large from facilities licensed by the Federal Communications Commission or any successor thereto; and (5) direct-to-home satellite service within the meaning of Section 602 of the Telecommunications Act.

  • Beta Services means Xxxxxx services or functionality that may be made available to Customer to try at its option at no additional charge which is clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation, or by a similar description.

  • Telecommunications service provider means that term as defined in Section 219a of the Michigan Penal Code, supra, as may be amended from time to time. As of January 2012, "Telecommunications Service Provider" is defined to mean any of the following:

  • Mobile Services means the mobile telecommunications service which we provide you under Part D and as specified in your Application.

  • Integrated Services Digital Network (ISDN means a switched network service that provides end-to-end digital connectivity for the simultaneous transmission of voice and data. Basic Rate Interface-ISDN (BRI-ISDN) provides for a digital transmission of two (2) 64 Kbps bearer channels and one (1) 16 Kbps data channel (2B+D).

  • Telecommunications Services means the offering of Telecommunications for a fee directly to the public, or to such classes of users as to be effectively available directly to the public, regardless of the facilities used.

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • link services means all new services necessary to connect the internal services to the bulk services; and

  • internet access service means a publicly available electronic communications service that provides access to the internet, and thereby connectivity to virtually all end points of the internet, irrespective of the network technology and terminal equipment used.
