  • All existing Foreign Exchange Authorization held by ECMOHO Shanghai is valid and ECMOHO Shanghai is not in default under any of such Foreign Exchange Authorization.

  • ECMOHO Shanghai, Yibo and the shareholders of Yibo shall have entered into the Control Agreements in the form and substance satisfactory to Delta.

  • Prior to the Initial Closing ECMOHO Shanghai shall furnish to Delta a copy of the consolidated management accounts of ECMOHO Shanghai for the six-month period ended on June 30, 2018 as soon as practicable after such management accounts are available.

  • The Company shall have provided (or caused to be provided) to the Purchasers a fully executed copy or copies of the equity transfer agreement (the “Equity Transfer Agreement”) by and between all the shareholders of ECMOHO Shanghai (except for the Staying Onshore Investors) and ECMOHO Hong Kong, pursuant to which, among other things, such shareholders shall transfer all their equity in ECMOHO Shanghai to ECMOHO Hong Kong.

  • As soon as applicable after the Initial Closing, the Founders shall procure that all the equity securities of the Japan Subsidiary be transferred from Xxxx Xxxxxxxx to one of the Subsidiaries of ECMOHO Shanghai in accordance with the applicable laws and regulations.

  • The Financial Statements (i) have been prepared in accordance with the books and records of ECMOHO Shanghai and its Subsidiaries, and (ii) fairly present in all material respects the consolidated financial condition and position of ECMOHO Shanghai as of the dates indicated therein and the consolidated results of operations and cash flows of ECMOHO Shanghai for the periods indicated therein.

  • GI can be used to address many of the issues noted in the previous section.

  • The Company has delivered to the Purchasers true, correct and complete copies of the audited consolidated balance sheet and statements of operations and cash flows of ECMOHO Shanghai (the “Financial Statements”) as of December 31, 2017 (the “Statement Date”).

  • WFOE has the meaning set forth in the Preamble of this Agreement.

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • Mainland China means the People’s Republic of China (excluding Hong Kong, Macau and Taiwan).

  • HK Company shall have the meaning ascribed to it in the preamble of this Agreement.

  • HKEx means Hong Kong Exchanges and Clearing Limited;

  • Hong Kong” the Hong Kong Special Administrative Region of the PRC;

  • BVI means the British Virgin Islands.

  • HKMA means the Hong Kong Monetary Authority;

  • AASHTO means the American Association of State Highway and Transportation Officials.

  • PRC means the People’s Republic of China, but solely for purposes of this Agreement, excluding the Hong Kong Special Administrative Region, the Macau Special Administrative Region and Taiwan.

  • Motorway means a road specially designed and built for motor traffic, which does not serve properties bordering on it, and which:

  • CJI means criminal justice information collected by criminal justice agencies needed for the performance of their authorized functions, including, without limitation, all information defined as criminal justice information by the U.S. Department of Justice, Federal Bureau of Investigation, Criminal Justice Information Services Security Policy, as amended and all Criminal Justice Records as defined under §24-72-302, C.R.S.

  • Chile means the Republic of Chile.

  • HKICL means Hong Kong Interbank Clearing Limited and its successors and assigns.

  • Industrial park means an area in a blighted or conservation area suitable for use by any manufacturing, industrial, research or transportation enterprise, of facilities to include but not be limited to factories, mills, processing plants, assembly plants, packing plants, fabricating plants, industrial distribution centers, warehouses, repair overhaul or service facilities, freight terminals, research facilities, test facilities or railroad facilities.

  • Hong Kong means the Hong Kong Special Administrative Region of the People’s Republic of China;

  • Marihuana means that term as defined in section 7106 of the public health code, 1978 PA 368, MCL 333.7106.

  • Nominee Company means a corporate body registered or having an established place of business in England and Wales which holds title to property for another;

  • LHSIA means the Local Health System Integration Act, 2006, and the regulations made under it, as it and they may be amended from time to time;

  • CSSF means the Commission de Surveillance du Secteur Financier;
