Effective Rating definition

Effective Rating means an overall LEAP End-of-Year Rating of Distinguished or Effective.
Effective Rating unless otherwise specified in these Investment Guidelines, shall be based on a nationally recognized statistical rating organization (NRSRO) credit rating that include Standard & Poor’s Corporation (“S&P”), Xxxxx’x Investor Service, Inc. (“Xxxxx’x”), and/or Fitch Ratings Ltd. For the purpose of any test set forth in these Trust Investment Guidelines, the Effective Rating shall be determined as follows: when 4 credit ratings or more are available, the Effective Rating will be the 2nd lowest; when only 3 credit ratings are available, the Effective Rating will be the middle rating; when only 2 credit ratings are available, the Effective Rating will be the lower rating; when only 1 credit rating is available the Effective Rating will be the single rating; and if no ratings are available by any of the above- referenced agencies, the Effective Rating will be the assigned internal rating determined by the Investment Manager pursuant to established policies and procedures. Further, all references to an S&P rating shall mean and include the equivalent rating from Xxxxx’x, and Fitch.
Effective Rating means, in respect of a Replacement Entity or Replaced Entity (the “Relevant Entity”), as the case may be, (i) the unsecured and unsubordinated long-term non-domestic currency issuer credit rating (or equivalent) publicly issued by Moody’s in respect of such Relevant Entity, (ii) if not so rated by Moody’s but is publicly rated by S&P, the Effective Rating specified below. If the rating by S&P or Moody’s of any Relevant Entity is on negative watch by either relevant rating agency, then the rating by either relevant rating agency shall be reduced by one notch before determination of the Effective Rating. If the rating by S&P or Moody’s of any Relevant Entity is on positive watch by either relevant rating agency, then the rating by either relevant rating agency shall be increased by one notch before determination of the Effective Rating. Examples of Effective Rating in a sentence

Effective Rating of the Class A-1 Notes shall be determined as follows: if Fitch is the only rating agency rating the Class A-1 Notes, the Fitch rating will be used, if the rating of one additional equivalent rating agency is obtained, the better rating will be used to make such determination. In the event that the rating of two additional rating agencies are obtained: (i) if one additional rating is better or equivalent and the other additional rating is lesser, the original Fitch rating will be used to make such determination; (ii) if one additional rating is better and the other additional rating is equivalent to the original Fitch rating, the better rating will be used; (iii) if both additional ratings are higher than the original Fitch rating and equivalent to each other, such higher rating shall be used to make such determination, (iv) if both additional ratings are better than the original Fitch rating but not equivalent to each other, the lesser of such higher ratings will be used to make such determination; (v) if both additional ratings are lesser than the original Fitch rating and equivalent to each other, such lesser rating shall be used to make such determination; and (vi) if both additional ratings are lesser than the original Fitch rating but not equivalent to each other, the better of such lower ratings will be used to make such determination.

  • Effective Rate shall have the meaning given to such term in Section 2.6(e).

  • Fed Funds Effective Rate means, in respect of a day, the rate of interest (expressed as an annual rate) as published in Federal Reserve Statistical Release H.15 (519) or Reuters Screen FEDFUNDS 1 Page or Bloomberg Page FEDL01 INDEX or any substituted publication therefor, charged for federal funds (dollars in immediately available funds borrowed by banks on an overnight unsecured basis) on that day or the immediately preceding day for which it had a value, or, if not available, ascertained from any other source as the Margin Loan Provider may deem appropriate.

  • Federal Funds Effective Rate means, for any day, the weighted average (rounded upwards, if necessary, to the next 1/100 of 1%) of the rates on overnight Federal funds transactions with members of the Federal Reserve System arranged by Federal funds brokers, as published on the next succeeding Business Day by the Federal Reserve Bank of New York, or, if such rate is not so published for any day that is a Business Day, the average (rounded upwards, if necessary, to the next 1/100 of 1%) of the quotations for such day for such transactions received by the Administrative Agent from three Federal funds brokers of recognized standing selected by it.

  • Moody’s Rating means, at any time, the rating issued by Moody's and xxxx xx effect with respect to the Borrower's senior unsexxxxx xong-term debt securities without third-party credit enhancement.

  • Alternative Rate means an alternative benchmark or screen rate which the Independent Adviser determines in accordance with Condition 5(j)(ii) is customarily applied in international debt capital markets transactions for the purposes of determining rates of interest (or the relevant component part thereof) in the same Specified Currency as the Notes.

  • Index Debt Rating means the S&P Rating, the Xxxxx’x Rating and the Fitch Rating.

  • S&P Rating means, at any time, the rating issued by S&P and then in effect with respect to the Borrower's senior unsecured long-term debt securities without third-party credit enhancement.

  • Tube rating chart means the set of curves which specify the rated limits of operation of the tube in terms of the technique factors.

  • Debt Rating has the meaning specified in the definition of “Applicable Rate.”

  • Xxxxx’x Rating means, at any time, the rating issued by Xxxxx’x and then in effect with respect to the Borrower’s senior unsecured long-term debt securities without third-party credit enhancement.

  • Specified Rating means, for the Class A(2017-2) Notes, Aaa(sf) with respect to Xxxxx’x, AAA(sf) with respect to Standard & Poor’s and AAAsf with respect to Fitch.

  • Highest Rating Category means, with respect to a Permitted Investment, that the Permitted Investment is rated by S&P or Moody’s in the highest rating category given by that rating agency for that general category of security. By way of example, the Highest Rating Category for tax exempt municipal debt established by S&P is “A 1+” for debt with a term of one year or less and “AAA” for a term greater than one year, with corresponding ratings by Moody’s of “MIG 1” (for fixed rate) or “VMIG 1” (for variable rate) for three months or less and “Aaa” for greater than three months. If at any time (i) both S&P and Moody’s rate a Permitted Investment and (ii) one of those ratings is below the Highest Rating Category, then such Permitted Investment will, nevertheless, be deemed to be rated in the Highest Rating Category if the lower rating is no more than one rating category below the highest rating category of that rating agency. For example, a Permitted Investment rated “AAA” by S&P and “Aa3” by Moody’s is rated in the Highest Rating Category. If, however, the lower rating is more than one full rating category below the Highest Rating Category of that Rating Agency, then the Permitted Investment will be deemed to be rated below the Highest Rating Category. For example, a Permitted Investment rated “AAA” by S&P and “A1” by Moody’s is not rated in the Highest Rating Category.

  • Adverse Rating Event With respect to any Class of Rated Certificates and any Rating Agency that has assigned a rating thereto, as of any date of determination, the qualification, downgrade or withdrawal of the rating then assigned to such Class of Rated Certificates by such Rating Agency (or the placement of such Class of Rated Certificates on “negative credit watch” status in contemplation of any such action with respect thereto).

  • Applicable Rating means the rating assigned to each Class of the Series 2012-VF3 Notes by S&P, as the Note Rating Agency, upon the issuance of such Class as set forth below:

  • Substitute Rating Agency means a “nationally recognized statistical rating organization” within the meaning of Section 3(a)(62) under the Securities Exchange Act of 1934, as amended, selected by the Company (as certified by a resolution of the Company’s board of directors) as a replacement agency for Moody’s or S&P, or both, as the case may be.

  • Index Debt means senior, unsecured, long-term indebtedness for borrowed money of the Borrower that is not guaranteed by any other Person or subject to any other credit enhancement.

  • Step Up Rating Change means the first public announcement by S&P or, if applicable, any other Rating Agency appointed by or with the consent of Heimstaden Bostad, of a decrease in the credit rating of Heimstaden Bostad's senior unsecured long-term debt to below BBB- (in the case of S&P) or below Baa3 (in the case of Moody's) or below BBB- (in the case of Fitch). For the avoidance of doubt, any further decrease in the credit rating of Heimstaden Bostad's senior unsecured long-term debt below BBB- in the case of S&P or, if applicable, below Baa3 in the case of Moody's or below BBB- in the case of Fitch and in respect of any other Substitute Rating Agency, an equivalent rating or below shall not constitute a further Step Up Rating Change.

  • Credit Rating means, with respect to any entity, the rating then assigned to such entity’s unsecured, senior long-term debt obligations (not supported by third party credit enhancements) or if such entity does not have a rating for its senior unsecured long-term debt, then the rating then assigned to such entity as an issuer rating by S&P, Moody’s or any other rating agency agreed by the Parties as set forth in the Cover Sheet.

  • Moody’s means Xxxxx’x Investors Service, Inc. and any successor thereto.

  • Corporate Rating an opinion issued by S&P of an obligor’s overall financial capacity (its creditworthiness) to pay its financial obligations.

  • Moody s” means Moody’s Investors Service, Inc.

  • Investment Grade Credit Rating means (a) with respect to Fitch, a credit rating of BBB- or higher, (b) with respect to Xxxxx’x, a credit rating of Baa3 or higher and (c) with respect to S&P, a credit rating of BBB- or higher.

  • Investment Grade Rating means a rating equal to or higher than Baa3 (or the equivalent) by Xxxxx’x and BBB- (or the equivalent) by S&P, or an equivalent rating by any other Rating Agency.

  • Investment Grade Rating Event means the first day on which the Notes have an Investment Grade Rating from a Rating Agency and no Default has occurred and is then continuing under this Indenture.
