Eligible Marketable Securities definition

Eligible Marketable Securities as of any date means marketable securities which would be reflected on a consolidated balance sheet of the Company and its Subsidiaries prepared as of such date in accordance with GAAP, and which are permitted under the Company’s investment policies as in effect on the Issuance Date or approved thereafter by the Company’s Board of Directors.

Eligible Marketable Securities means the sum, valued at current market value, of (a) all cash held by a Related Party and Marketable Securities held by a Domestic Related Party, excluding Golden Eagle, which (i) are not subject to any offset, restriction or any other Lien other than for the benefit of Bank One, (ii) are subject to a perfected security interest in favor of the Administrative Agent for the benefit of the Banks pursuant to the Security Documents and (iii) with respect to any cash in excess of $10,000,000.00 is subject to a perfected security interest in favor of the Administrative Agent for the benefit of the Banks, less (b) $5,000,000.00; provided that in the event such sum is less than zero dollars ($0) (i.e. negative), the sum shall be deemed to be zero dollars ($0).
