Eligible Offeree definition

Eligible Offeree means an Eligible Holder or an Eligible Affiliate.
Eligible Offeree means that such party is an Eligible Offeree as defined under the Rights Offering Procedures; provided, that, with regard to any Subscription Right pursuant to which an Eligible Offeree has opted into the Early Election Procedures, such Eligible Offeree must certify as to the statements set forth in the Early Election Procedures to be considered an Eligible Offeree.

  • On the Rights Offering Distribution Date, each share of the Existing Common Stock outstanding on the Rights Offering Record Date shall be exchanged for (1) one share of the New Common Stock and (2) a Share Purchase Right entitling the holder to purchase its Pro Rata portion of the Eligible Offeree Rights Offering Common Stock.

Eligible Offeree means a holder of Old Notes, other than Valley, that is an “Accredited Investor,” a “qualified institutional buyer” or a person other than a “U.S. Person,” in each case as such terms are defined in the Securities Act.
