Employee Securities definition

Employee Securities means all securities of the Company issued or sold after October 14, 1997 to employees, consultants, officers or directors of the Company with the approval of, or pursuant to a plan approved by, the Board of Directors or any duly authorized committee thereof.
Employee Securities means (a) Units acquired by the Employees on or after the date of the Original Agreement under the Management Subscription Agreements, (b) any Securities, Common Stock or Common Stock Equivalents hereafter acquired by any holder of Employee Securities, and (c) any securities issued with respect to the securities referred to in clauses (a) or (b) above by way of a payment-in-kind, stock dividend or stock split or in connection with a combination of shares, exchange, conversion, recapitalization, merger, consolidation or other reorganization, or otherwise.
Employee Securities means (a) the Units acquired by the Employees on or after the date of this Agreement under the Management Unit Subscription Agreements, (b) any Units, Common Stock (including, for the purpose of this definition, any common stock of any other company distributed by the Company), Common Stock Equivalents or Preferred Stock hereafter acquired by any holder of Employee Securities and (c) any securities of the Company (or any other such company) issued with respect to the securities referred to in clauses (a) or (b) above by way of a payment-in-kind, stock dividend or stock split or in connection with a combination of shares, exchange, conversion, recapitalization, merger, consolidation or other reorganization.

More Definitions of Employee Securities

Employee Securities means the Common Units acquired pursuant hereto by the Employee and will include Common Units issued with respect to Employee Securities by way of a split, dividend, distribution, combination, exchange, conversion, or other recapitalization, merger, consolidation or reorganization.
Employee Securities means (a) Securities acquired by the Employees on or after the date of this Agreement under the Management Equity Subscription Agreements and/or Nonqualified Stock Option Agreement, (b) any Securities, Common Stock or Common Stock Equivalents hereafter acquired by any holder of Employee Securities, and (c) any securities issued with respect to the securities referred to in clauses (a) or (b) above by way of a payment-in-kind, stock dividend or stock split or in connection with a combination of shares, exchange, conversion, recapitalization, merger, consolidation or other reorganization, or otherwise.
Employee Securities means any Ordinary Shares and any options to purchase Ordinary Shares issued to employees, consultants, officers, Directors or trustees pursuant to any share option, restricted share, share purchase, share bonus or other equity incentive plans, agreements or arrangements of the Company.
Employee Securities means (a) the Preferred Units, Class A Units, Class B Units or Class C Units acquired by the Employees on or after the date of this Agreement under the Management Unit Subscription Agreements, (b) any Class O Units acquired by the Employees, (c) any Units, Common Stock (including, for the purpose of this definition, common stock of Holdings or any other common stock distributed by the Company), Common Stock Equivalents or Preferred Stock hereafter acquired by any holder of Employee Securities and (d) any securities of the Company issued with respect to the securities referred to in clauses (a), (b) or (c) above by way of a payment-in-kind, stock dividend or stock split or in connection with a combination of shares, exchange, conversion, recapitalization, merger, consolidation or other reorganization.
Employee Securities shall have the meaning set forth in the recitals to the First Amendment to the Put Rights Agreement.
Employee Securities means shares of Capital Stock, warrants, rights, calls, options or obligations of the Company or any of its Subsidiaries (including any accrued interest or dividends thereon) owned by any employees of the Company or any of its subsidiaries or any Independent Director which are subject to repurchase upon the death, disability or other termination of employment of any such employee or Independent Director.
Employee Securities means any securities (including but not limited to options and shares) issued to employees, consultants, officers or directors of the Company and/or its Subsidiaries pursuant to any stock option, share purchase, share bonus or other equity incentive plans, agreements or arrangements of the Company, each as approved by the board of Directors, including at least one Series A Preferred Director, one Series B Preferred Director, one Series C Director and one Series D Preferred Director.
