Engagement Letters definition

Engagement Letters means the Engagement Letters by and between the Company and each of the Placement Agents, dated September 26, 2023.

Engagement Letters has the meaning set forth in Section 4.24.

Engagement Letters has the meaning assigned in Section 3.9.

• The Company hereby confirms and acknowledges its appointment, to the exclusion of all others, of the Joint Sponsors to act as the joint sponsors in connection with the listing of the H Shares on the SEHK in accordance with the terms and conditions of the respective Engagement Letters, and each of the Joint Sponsors, relying on the Warranties and subject as hereinafter mentioned, hereby severally (and not jointly or jointly and severally) confirms and acknowledges its acceptance of such appointment.

• The Company shall pay to the Joint Sponsors the sponsor fee of such amount and in such manner as set out in the relevant Engagement Letters entered into between the Company and each of the Joint Sponsors.

More Definitions of Engagement Letters

Engagement Letters means the Engagement Letters (as defined in the Merger Agreement) provided to Liberty Media on the date hereof.

Engagement Letters has the meaning ascribed thereto in Section 2(1) of this Agreement;

Engagement Letters means (i) the Engagement Letter with respect to the Takeout Loans (as defined therein), dated October 11, 2019, among the Company, Xxxxxx Xxxxxxx Senior Funding, Inc., BofA Securities, Inc., Citigroup Global Markets Inc., Credit Suisse Loan Funding LLC, Xxxxxxx Sachs Bank USA and JPMorgan Chase Bank, N.A., as amended, supplemented, restated, assigned, assumed, or otherwise modified in accordance with its terms from time to time (the “Takeout Loans Engagement Letter”) and (ii) the Engagement Letter with respect to the Takeout Notes (as defined therein) and Takeout Equity (as defined therein), dated October 11, 2019, among the Company, Xxxxxx Xxxxxxx & Co. LLC, BofA Securities, Inc., Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Xxxxxxx Sachs & Co. LLC and X.X. Xxxxxx Securities LLC, as amended, supplemented, restated, assigned, assumed, or otherwise modified in accordance with its terms from time to time (the “Takeout Securities Engagement Letter”).

Engagement Letters means (i) the engagement letter dated July 5, 2017, by and between High Mesa, Inc. and Citigroup Global Markets Inc., (ii) the engagement letter dated August 15, 2017, by and between Xxxx Xxxx Holdings LP and Xxxxxx Xxxxxxx & Co. LLC and (iii) the engagement letter dated August 16, 2017, by and between Xxxx Xxxx Holdings LP and Xxxxxxx Xxxxx & Co LLC.
