Environmental and Regulatory Assessment definition

Environmental and Regulatory Assessment means an on-site inspection of the Assets (or part thereof) together with review of pertinent records in the possession of Seller relating to the environmental condition and regulatory compliance of the Assets. With the prior written consent of Seller, not to be unreasonably withheld, Buyers may conduct a Phase I analysis of the Assets in connection with the Environmental and Regulatory Assessment. In no event, however, shall the Environmental and Regulatory Assessment include any surface or subsurface invasive or intrusive sampling of the Assets without the separate, prior and written consent of the Seller, which consent may not be unreasonably withheld by Seller. The Environmental and Regulatory Assessment shall be conducted by employees of Buyer and environmental consultants that are reasonably acceptable to Seller and are engaged and paid solely by Buyer. Performance of the Environmental and Regulatory Assessment shall be conducted during reasonable business hours of Seller.
Environmental and Regulatory Assessment means one or more on-site inspections of the Operated Properties (or part thereof) together with review of pertinent records in the possession of the Company or any of its Subsidiaries relating to the environmental condition and regulatory compliance of the Operated Properties, it being understood that Buyer or Buyer's Representatives may conduct a Phase I environmental analysis (as contemplated by the most recent version of ASTM 1527E) of the Operated Properties to evaluate the environmental condition of the Operated Properties. "Environmental and Regulatory Assessment" shall also include such further inspections, including invasive or intrusive samplings or studies, as may be conducted in accordance with Section 6.3.
Environmental and Regulatory Assessment shall, subject to the requirements in Section 5.05, mean one or more on-site inspections of the Oil and Gas Properties (or part thereof) together with review of pertinent records in the possession of any Target Party relating to the environmental condition and regulatory compliance of the Oil and Gas Properties, which may include a Phase I environmental analysis (as contemplated by ASTM E 1527-05) and a Phase II environmental analysis (as contemplated by ASTM E 1903-02) of the Oil and Gas Properties.

  • The Environmental and Regulatory Assessment shall be conducted during the Examination Period.

  • As a result of this absorption- type merger, AI will own all of the outstanding shares of EQ-R, and thereafter, the Merger will be an absorption-type merger with AI as the surviving company and EQ-R as the extinguished company.

  • In the event that the purchase contemplated by this Agreement fails to close for any reason, Buyer shall return to Seller the original and all copies of any data and information acquired pursuant to the Environmental and Regulatory Assessment, and any reports, analyses, summaries, maps, and the like generated therefrom or based thereon.

  • conformity assessment body means a body that performs conformity assessment activities including calibration, testing, certification and inspection;

  • Impact Assessment has the meaning given to it in Clause 22.1.3 (Variation Procedure);

  • Adverse Environmental Condition shall refer to (i) the existence or the continuation of the existence, of an Environmental Emission (including, without limitation, a sudden or non-sudden accidental or non-accidental Environmental Emission), of, or exposure to, any substance, chemical, material, pollutant, Contaminant, odor or audible noise or other release or emission in, into or onto the environment (including, without limitation, the air, ground, water or any surface) at, in, by, from or related to any Equipment, (ii) the environmental aspect of the transportation, storage, treatment or disposal of materials in connection with the operation of any Equipment or (iii) the violation, or alleged violation of any statutes, ordinances, orders, rules regulations, permits or licenses of, by or from any governmental authority, agency or court relating to environmental matters connected with any Equipment.

  • Environmental Consultant has the meaning set forth in Section 5.17(a).
