Equity Purchase Right definition

Equity Purchase Right has the meaning given in Section 11.01(a).
Equity Purchase Right means, with respect to each Lender, the right of such Lender to purchase Common Stock pursuant to an Equity Investment in the amounts set forth opposite such Lender’s name on Schedule 1 under the caption “Equity Purchase Right”, as such schedule may be amended from time to time pursuant to an Assignment and Assumption agreement or otherwise.
Equity Purchase Right shall have the meaning set forth in Section 5.1 hereof.

  • If PRC laws and regulations require the valuation of the equity interests upon Party A’s exercise of the Equity Purchase Right, all Parties shall negotiate and determine the equity interests purchase price in good faith and make necessary adjustments based on the valuation, so as to comply with the then applicable PRC laws and regulations.
