Escrow Funding Event means the occurrence of any of the following events:
Escrow Funding Event means the occurrence of any of the following events: (i) Class A Common Shares of Reynxxxx xxxe been acquired other than directly from Reynxxxx xx exchange for cash or property by any person (other than Richxxx X. Xxxxx, Xx., xxs children or his grandchildren, Reynxxxx, xxy trustee or other fiduciary holding securities under an employee benefit plan of Reynxxxx, xx any company owned directly or indirectly by the shareholders of Reynxxxx xx substantially the same proportions as their ownership of the stock of Reynxxxx) xxo either thereby becomes the owner of more than nine and one half percent (9.5%) of Reynxxxx' xxtstanding Class A Common Shares, or having directly or indirectly become the owner of more than five percent (5%) of Reynxxxx' Xxass A Common Shares either alone or in conjunction with another person has expressed an intent to continue acquiring Reynxxxx' xxtstanding Class A Common Shares so as to become thereby the owner of more than nine and one-half percent (9.5%) of such stock either directly or indirectly; (ii) Any person (other than Richxxx X. Xxxxx, Xx., xxs children or grandchildren, Reynxxxx, xxy trustee or other fiduciary holding securities under an employee benefit plan of Reynxxxx, xx any company owned directly or indirectly by the shareholders of Reynxxxx xx substantially the same proportions as their ownership of stock of Reynxxxx) xxs made a tender offer for, or a request for invitations for tenders of, Class A Common Shares of Reynxxxx.

Grant, Jr., his children or his grandchildren, Reynolds, xxx xxxxxxx xx xxxxr fiduciary holding securities under xx xxxxxyee benefit plan of Reynolds, or any company owned directly or indirectly by the sharexxxxxxx of Reynolds in substantially the same proportions as their ownership xx xxx xtock of Reynolds) who either thereby becomes the owner of more than nine axx xxx xalf percent (9.5%) of Reynolds' outstanding Class A Common Shares, or having directly or xxxxxxxtly become the owner of more than five percent (5%) of Reynolds' Class A Common Shares either alone or in conjunction witx xxxxxxr person has expressed an intent to continue acquiring Reynolds' outstanding Class A Common Shares so as to become therebx xxx xxner of more than nine and one-half percent (9.5%) of such stock either directly or indirectly; (ii) Any person (other than Richard H. Grant, Jr., his children or grandchildren, Reynolds, anx xxxxxxx xx xxxxx xxduciary holding securities under xx xxxxxyee benefit plan of Reynolds, or any company owned directly or indirectly by the sharexxxxxxx of Reynolds in substantially the same proportions as their ownership xx xxxxx of Reynolds) has made a tender offer for, or a request for invitationx xxx xxnders of, Class A Common Shares of Reynolds. (iii) Any person forwards or causes to be forwardex xx xxxreholders of Reynolds proxy statement(s) in any period of twenty-four (24) consxxxxxxx months, soliciting proxies, to elect to the Board of Reynolds two (2) or more candidates who were not nominated as candxxxxxx xn proxy statements forwarded to shareholders during such period by the Board; or (iv) The Board adopts a resolution to the effect that, for purposes of this Agreement, an Escrow Funding Event has occurred.

Examples of Escrow Funding Event in a sentence

  • If, before the expiration of such periods or forfeiture, there shall occur another Escrow Funding Event, the Employer will not be required to make an additional deposit, but the two (2) year period shall then be measured from the date of the last such event.

  • No merger or consolidation with any other entity, or sale of all or substantially all of Employer's assets constituting an Escrow Funding Event, or thereafter a Change in Control shall occur without assumption of the Agreement by the purchaser or payment by purchaser or Employer of the sums set forth in subsection (a) of Section 2 of this Agreement.

  • It is the determination of the Company's Stock Option Committee (the "Committee") that the Option price is equal to the greater of one hundred percent of the fair market value of a share of Common Stock, or the par value thereof, on the Grant Date.

  • Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.

  • Financing Event means the earlier of (i) a public offering by the Company of its Common Stock with aggregate gross proceeds of at least $5 million; or (ii) the listing of the Company’s Common Stock on a National Securities Exchange, as such term is defined under the Exchange Act.

  • Liquidating Event has the meaning set forth in Section 13.1 hereof.

  • Pre-Funding Period means the period beginning on the Closing Date and ending on the earliest of (a) the date on which the amount on deposit in the Pre-Funding Account is less than $10,000, (b) the Funding Termination Date or (c) the date on which an Event of Termination occurs.

  • Sharing Event means (i) the occurrence of any Event of Default with respect to any Borrower pursuant to Section 12.05, (ii) the declaration of the Total Revolving Loan Commitment termination, or the acceleration of the maturity of any Revolving Loans, in each case pursuant to the last paragraph of Section 12 or (iii) the failure of any Borrower to pay any principal of, Face Amount of, or interest on, Revolving Loans or any Letter of Credit Obligations on the Maturity Date.

  • Escrow Termination Date has the meaning ascribed to such term in Section 9.12.

  • Special Servicer Termination Event shall have the meaning given to such term in the Lead Securitization Servicing Agreement.

  • Delayed Draw Funding Date means the date occurring on or after the Effective Date upon which all of the conditions to funding the Delayed Draw Term Loan set forth in Section 6.02 are satisfied and the Delayed Draw Term Loan is funded.

  • Terminating Event means any of the following events:

  • Funding Default as defined in Section 2.22.

  • Capital Disqualification Event has the meaning specified in Section 1.1 of the Indenture.

  • Liquidating Events shall have the meaning set forth in Section 13.1.

  • Pre-Funding Earnings means any Investment Earnings on amounts on deposit in the Pre-Funding Account.

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.
