ESOP Shares definition

ESOP Shares means any Ordinary Shares (or options representing any Ordinary Shares) issuable to employees, officers or directors of the Company pursuant to the ESOP.

ESOP Shares has the meaning set forth in the recitals.

ESOP Shares means up to 26,822,828 Common Shares, or options or warrants therefore, issued or issuable to employees, officers, directors, contractors, advisors or consultants of the Company pursuant to the Company’s 2010 ESOP Plan (as defined in the Purchase Agreement), and 9,073,732 Common Shares issued to Leading Advice Holdings Limited pursuant to the Company’s 2013 RS Plan (as defined in the Purchase Agreement).

• Brotman contributed 90,000 shares of Series D common stock (ESOP Shares) and $2,000 in cash to BMC upon its formation to provide Brotman employees with beneficial ownership of portions of the ESOP Shares as equity incentives on a tax-deferred basis.

ESOP Shares means the shares of Strand held by the Strand Employees Welfare Trust.
