• Neither the execution and delivery of this Agreement nor the consummation by the Trustee on behalf of the ESOP, of any of the transactions contemplated hereby will result in a violation of, or a default under, or conflict with, or require any consent, approval or notice under, any contract, trust, commitment, agreement, obligation, understanding, arrangement or restriction of any kind to which the ESOP is a party or by which ESOP is bound or to which the ESOP Shares are subject.

ESOP Shares means the shares of Strand held by the Strand Employees Welfare Trust.
