ESOP Plan definition

ESOP Plan means the Performance Holdings, Inc. Employee Stock Ownership Plan established by Holdings pursuant to the ESOP Plan Declaration.

ESOP Plan means The Newark Group, Inc. Employees’ Stock Ownership Plan dated as of April 22, 2002, as such ESOP Plan may be amended, modified, restated or supplemented and in effect from time to time in accordance with the terms hereof.

ESOP Plan means either or both of, as the context may require, (i) the employee stock option plan entitled “ESOP 2015”, adopted by the Board and the shareholders of the Company on May 28, 2015 and amended on June 14, 2019, for the benefit of the employees of the Company, and for the benefit of such Persons, as approved with Investors’ Consents, as amended from time to time, and (ii) the employee stock option plan entitled “ESOP 2021”, adopted by the Board and the shareholders of the Company on August 10, 2021, for the benefit of key employees of the Company, and for the benefit of such Persons, as approved with Investors’ Consents, as amended from time to time.

ESOP Plan has the meaning set forth in Section 3.1(b)(iii).

ESOP Plan means an employee stock option plan, in a form agreeable to the Investors, which shall be adopted by the Board and the shareholders of the Company, for the benefit of the employees of the Company, and for the benefit of such Persons, as approved in writing by the Investors, to administer the grant, vesting and exercise of the employee stock options.
