Estate Assets definition

Estate Assets means those assets defined as Estate Assets in Section XIII.A. of the Combined Plan and Disclosure Statement.
Estate Assets means the respective Assets of the Debtors and their Estates as of the Effective Date, including any and all proceeds, rents, products, offspring, and profits arising from or generated by such property after the Effective Date.
Estate Assets means all of the right, title and interest of the Debtors in and to property of whatever type or nature (real, personal, mixed, tangible or intangible), including property of each Debtor’s Estate.

Examples of Estate Assets in a sentence

  • Although the Fund beneficially owns the Real Estate Assets, it will not enjoy any capital gain or loss from the appreciation or depreciation in respect of the Real Estate Assets due to the Sale Undertaking and Purchase Undertaking except where the right of the Sponsor to repurchase the beneficial ownership of a Real Estate Assets at the Exercise Price is lost under the terms of the Transaction Documents.

  • There is a possibility of losses with respect to the Real Estate Assets for which insurance proceeds may not be adequate or which may result from risks that are not covered by insurance.

More Definitions of Estate Assets

Estate Assets means all of the right, title and interest of the Debtor in and to property of whatever type or nature (real, personal, mixed, tangible or intangible), including property of the Debtor’s Estate. For the avoidance of doubt, all Causes of Action, Preserved Claims and Avoidance Actions are included within Estate Assets.
Estate Assets means the respective property or assets of the Debtors, the Estates, the Liquidating Trust, or the Liquidating Trustee.
Estate Assets means any and all property of the Estates, of every kind and character, wherever located, whether real or personal, tangible or intangible, and all proceeds therefrom including, without limitation: (i) any and all Claims or Causes of Action of the Debtors or the Estates against third parties; (ii) any unencumbered Assets of the Estates not otherwise identified in this definition; (iii) the Remaining Cash; and (iv) all files, books and records relating to the Debtors’ business or the administration of the Plan.
Estate Assets means those assets (including any tangible or intangible property rights, privileges or immunities of any kind whatsoever) remaining in the Estates following the consummation of APA 1 and APA 2, including those set forth as “Excluded Assets” on Schedule2.2 to APA 2 (and all proceeds received from such assets), and any contractual or other rights under the Letter of Credit and the Sale Transaction Documents. Notwithstanding the foregoing, the Estate Assets shall not include the rights and obligations of the Sellers under the Tax Indemnification Agreement.
Estate Assets means, collectively (a) any and all right, title, and interest of the Debtors and the Estates in and to property of whatever type or nature, including their books and records and all Avoidance Actions and Causes of Action, as of the Effective Date; and (b) any assets contributed to or recovered by the Liquidation Trust on or after the Effective Date.
Estate Assets means all property of the estate of the Debtor under section 541
Estate Assets means all property of the Debtors’ Estates pursuant to section 541 of the Bankruptcy Code including, without limitation, all Causes of Action and all proceeds thereof.
