Euro Exchange Rate definition

Euro Exchange Rate with respect to US Dollars or Euros on any date, the rate at which US Dollars may be exchanged into Euros, or Euros may be exchanged into US Dollars, as the case may be, as set forth at or about 11:00 A.M., London time, on the Reuters currency page with respect to Euros on the date that is two Business Days prior to the date as of which the exchange computation is made. In the event that such rate does not appear on such Reuters currency page, the Euro Exchange Rate shall be determined by reference to such other publicly available service for displaying exchange rates as may be agreed upon by the Administrative Agent and the Parent Borrower or, in the absence of such agreement, the Euro Exchange Rate shall instead be the spot rate of exchange of the Administrative Agent in the London interbank market or other market where its foreign currency exchange operations in respect of Euros are then being conducted, at or about 11:00 A.M., local time, on the date that is two Business Days prior to the date as of which the exchange computation is made; provided, however, that if at the time of any such determination, for any reason, no such spot rate is being quoted, the Administrative Agent may use any reasonable method it deems appropriate to determine such rate, and such determination shall be conclusive absent manifest error.
Euro Exchange Rate means "(euro) Exchange Rate" specified in paragraph 7 of the confirmation for the Class A-3 Currency Swap.
Euro Exchange Rate means, as applicable and in relation to any date of determination, (i) the rate of exchange for the conversion of Dollars into Euro (expressed as US$ per EUR 1) displayed on the Bloomberg “FXC” screen at 11.00 a.m. (New York time) on such date (or such other rate of exchange as the Borrower and the Administrative Agent may from time to time agree in writing), or (ii) the Administrative Agent’s spot rate of exchange for such other Specified Currency per Euro in the applicable foreign exchange market.

Euro Exchange Rate means the EUR/GBP exchange rate which will be the ECB EUR/GBP reference rate fixing to 5 (five) decimal places which is published normally at 14:15 CET on a daily basis by the ECB (European Central Bank) on their website at xxxxx://xxx.xxx.xxxxxx.xx/stats/exchange/eurofxref/html/index.en.html. This rate can also be normally accessed on the Reuters screen under the code ECB37 and Bloomberg screen ECB (24). For the avoidance of doubt, any act of any Government Entity or any change of law in Slovakia shall not constitute an Event of Force Majeure.
