Existing Debt Amount definition

Existing Debt Amount means an amount equal to the Existing Debt outstanding on the First Issue Date, being SEK 121,142,720 and EUR 12,686,383.
Existing Debt Amount means, with respect to each Purchaser, the amount owed by the Company to such Purchaser under such Purchaser's Existing Promissory Note as of the Closing, as set forth on Schedule A hereto.

More Definitions of Existing Debt Amount

Existing Debt Amount means the total principal amount of the Senior Notes, Replacement Debt, Financial Indebtedness incurred in connection with any Permitted Purchase Obligations and Term Debt (which shall include, for the avoidance of doubt, the Existing Encore Notes and any Permitted Purchase Obligations) and issued by the Restricted Group as at the Closing Date or as at the effective date of any amendment and restatement agreement in relation to this Agreement or amendment agreement in relation to this Agreement (as applicable) entered into after the Closing Date (a “Relevant Effective Date”); and
Existing Debt Amount means the amount (including principal, interest and fees) owing or accrued at Completion under the Existing Facilities;

Related to Existing Debt Amount

  • Debt Amount means all accrued and unpaid interest and any “make whole” payments or breakage fees (less any breakage benefits) which Project Co is obligated to pay to Lender pursuant to the Lending Agreements, together with the outstanding principal amount of debt funded under the Lending Agreements.

  • Existing Debt means Debt of each Loan Party and its Subsidiaries outstanding immediately before the occurrence of the Effective Date.

  • Closing Debt means the aggregate principal amount of, and accrued interest on, all Debt of the Company as of the close of business on the day immediately preceding the Closing Date.

  • Assumed Indebtedness means Indebtedness of a Person which is (a) in existence at the time such Person becomes a Restricted Subsidiary of the Borrower or (b) is assumed in connection with an Investment in or acquisition of such Person, and has not been incurred or created by such Person in connection with, or in anticipation or contemplation of, such Person becoming a Restricted Subsidiary of the Borrower.

  • Term Loan Amount means with respect to any Term Loan Lender, the amount equal to its Term Loan Percentage of the aggregate principal amount outstanding under the Term Loan.

  • Payoff Amount means with respect to a Receivable as of the close of business on the last day of a Collection Period, the remaining principal balance of such Receivable, plus accrued but unpaid interest thereon, and related fees.

  • Company Indebtedness means the Indebtedness of the Company.

  • Existing Indebtedness means Indebtedness of the Company and its Subsidiaries (other than Indebtedness under the Credit Agreement) in existence on the date of this Indenture, until such amounts are repaid.

  • Funding Debt means any Debt incurred by or on behalf of the General Partner for the purpose of providing funds to the Partnership.

  • Required Payment Amount shall have, for any Distribution Date, the meaning specified for such Distribution Date in Section 4.6(a) of the Sale and Servicing Agreement.

  • Second Priority Principal Distribution Amount means, with respect to any Payment Date, an amount equal to (a) the excess, if any, of (i) the Note Balance as of such Payment Date (before giving effect to any principal payments made on the Class A Notes and the Class B Notes on such Payment Date), over (ii) the Adjusted Pool Balance for such Payment Date minus (b) the First Priority Principal Distribution Amount for such Payment Date; provided, however, that the Second Priority Principal Distribution Amount on the Class B Final Scheduled Payment Date shall not be less than the amount that is necessary to reduce the outstanding principal amount of the Class B Notes to zero.

  • Senior Funded Debt means all Funded Debt (except Funded Debt, the payment of which is subordinated to the payment of the Notes).
