Excluded Names definition

Excluded Names has the meaning set forth in Section 5.11 hereof.

• Any use by the Purchased Entities of any of the Excluded Names as permitted in this Section 6.5 is subject to their use of the Excluded Names in a form and manner, and with standards of quality, of that in effect for the Excluded Names as of the Closing Date.

• The Parties acknowledge and agree that except as expressly provided in the Trademark License Agreement, the Company has no right, title or interest in any Excluded Name and no interest in or right to use the Excluded Names is being assigned, licensed, transferred or otherwise conveyed to Buyer or to the Company pursuant to this Agreement or the transactions contemplated hereby.
