Excused Event means any of the following, regardless of the reason for the occurrence thereof:

Notwithstanding the preceding sentence, Shipper shall be entitled to relief under: (i) an Excused Event (Carrier) in accordance with the procedures set forth in Section 5.5; (ii) an Excused Event (Shipper) in accordance with the procedures set forth in Section 5.6; and (iii) due to a Feedstock Impairment in accordance with the procedures set forth in Section 14.4.
The failure to obtain and to maintain the necessary Commercial Arrangements or Shipper Permits will not affect Xxxxxxx's obligations to make payments hereunder and, for clarity, such failure shall in no way be construed as being an Excused Event for which Xxxxxxx could otherwise seek payment relief hereunder.

More Definitions of Excused Event

Excused Event means any Acts of God, declared state of emergency or public health emergency, pandemic (specifically including COVID-19), government mandated quarantines and isolations, war, acts of terrorism, organized labor activities, natural disasters, and/or government mandated orders for civil or military authorities any or all of which would either hinder the Seller’s or the Buyer’s performance under this Agreement and/or make such performance impractical and/or impossible. If an Excused Event occurs to the Seller or the Buyer, as the case may be then the Seller or the Buyer (as applicable) shall provide notice to the other of such Excused Event as soon as practical and the Seller or the Buyer (as applicable) shall have the option of:

Excused Event means the time during which (a) Buyer fails to make Charging Energy available to Seller at the Electrical Delivery Point, (b) Buyer fails to take Product from and after the Electrical Delivery Point, and (c) Buyer claims an event of Force Majeure.
