Exercise Quantity definition

Exercise Quantity means the number of shares of Common Stock, determined from time to time, taking into account all shares of Common Stock theretofore issued upon exercise of the Warrants, required to be issued by the Company to the holders of the Warrants. Exercise Quantity shall initially have the meaning given in each Warrant, and may be adjusted from time to time, pursuant to the provisions of the Warrants and this Agreement.
Exercise Quantity means one Warrant Share per Warrant, as adjusted from time to time in accordance with this Warrant Agreement.
Exercise Quantity means 500,000 of Warrant Stock which amount shall be increased as follows: (i) upon the occurrence an Event of Default under the Loan Agreement by 50,000 shares of Warrant Stock, and (ii) on the first day of each thirty (30) day period after such Event of Default until (x) the Secured Obligations (as defined in the Loan Agreement) are paid in full indefeasibly or (y) the written waiver by the Lender, if any, of such Event of Default, by an additional 25,000 shares of Warrant Stock.

  • Upon the due delivery of this Warrant for transfer, the transferee holder shall be deemed for all purposes to have become the holder of the new Warrant issued respecting the Exercise Quantity transferred, effective immediately prior to the close of business on the date of such delivery, irrespective of the date of actual delivery of the new Warrant representing the Exercise Quantity transferred.

  • If for any reason it shall hereafter be determined that the actual amount of Common Stock outstanding as of the Date of Grant caused the calculation of the Exercise Quantity to be erroneous, then the Company or the holder (whichever shall discover such error) shall notify the other of such determination and the Company shall forthwith reissue the Warrant or the Series Warrants, as the case may be, with an appropriate proportional adjustment in said number to be effective from the Date of Grant.

  • In the event of a partial transfer of this Warrant, the Company shall concurrently issue and deliver to the transferring holder a new Warrant that entitles the transferring holder to purchase the balance of the Exercise Quantity not so transferred and that otherwise is upon the same terms and conditions as this Warrant.

  • The Holder may request such an exchange by surrender of this Warrant to the Company, together with a written exchange request specifying the desired number of Warrants and allocation of the Exercise Quantity purchasable under the existing Warrant.

  • In the event of a partial exercise of this Warrant, the Company shall issue and deliver to the Holder a new Warrant at the same time such stock certificates are delivered, which new Warrant shall entitle the Holder to purchase the balance of the Exercise Quantity not purchased in that partial exercise and shall otherwise be upon the same terms and provisions as this Warrant.

  • The identical Holder may request such an exchange by surrender of this Warrant to the Company, together with a written exchange request specifying the desired number of warrants and allocation of the Exercise Quantity purchasable under the existing Warrant.

  • Whenever the Exercise Price or Exercise Quantity is adjusted as herein provided, the Company shall, within ten days following the consummation of the event triggering such adjustment, deliver to the Holders a statement signed by the President of the Company and by its Treasurer or Secretary stating the adjusted Exercise Price and Exercise Quantity for which the Warrants are exercisable, determined as specified herein.

  • The Holder may request such an exchange by surrender of this Warrant to the Company, together with a written exchange request specifying the desired number of warrants and allocation of the Exercise Quantity purchasable under the existing Warrant.

  • Irrespective of any adjustments in the Exercise Price or the Exercise Quantity or the kind of shares purchasable upon the exercise of the Warrants, the Warrants theretofore or thereafter issued may continue to express the same price and number and kind of shares as are stated in the Warrants initially issuable pursuant to this Agreement.

  • Within five (5) Business Days after the Company's receipt of this Warrant and the Assignment Form so completed and executed, the Company will issue and deliver to the transferee a new Warrant representing the portion of the Exercise Quantity transferred at the same Exercise Price per share and otherwise having the same terms and provisions as this Warrant, which the Company will register in the new Holder's name.


More Definitions of Exercise Quantity

Exercise Quantity means the lesser of (i) [38,304] and (ii) the number of shares of Warrant Stock the Transfer of which pursuant to the Triggering Event giving rise to the exercise of the Warrant results in proceeds to the Holder that, together with all other Investment Return Proceeds, causes the Internal Rate of Return to equal, but not exceed, eight percent (8%).
Exercise Quantity means 500,000 of Warrant Stock which amount shall be increased as follows: (i) upon the occurrence an Event of Default under the Loan Agreement or a Registration Breach, by 50,000 shares of Warrant Stock, (ii) on the thirty-first (31(st)) day after an Event of Default or Registration Breach until (x) the Obligations (as defined in the Loan Agreement) are paid in full indefeasibly and all Registration Breaches are fully cured or (y) the written waiver by the Lender, if any, and the Holder, as applicable, of all Events of Default and Registration Breaches, by an additional 100,000 shares of Warrant Stock; and (iii) on the first day of each thirty (30) day period beginning on the sixty-first (61(st)) day after an Event of Default or Registration Breach until (x) the Obligations are paid in full indefeasibly and all Registration Breaches are fully cured or (y) the written waiver by the Lender, if any, and the Holder, as applicable, of all Events of Default and Registration Breaches, by an additional 300,000 shares of Warrant Stock.
Exercise Quantity means 500,000 shares of Warrant Stock on the Issue Date plus 50,000 shares of Warrant Stock on the date of the second Advance, 75,000 shares of Warrant Stock on the third Advance, and 125,000 shares of Warrant Stock on the fourth Advance, in each case as provided for in the Loan Agreement. In addition, Holder may acquire the following: (i) upon the occurrence an Event of Default under the Loan Agreement or a Registration Breach, shares of Warrant Stock equal to 1% of the Company’s outstanding capital stock on a fully diluted basis, assuming conversion of all convertible securities and exercise of all warrants and options to purchase stock as to which the exercise price thereof is less than the Fair Market Value of each Share (“Fully Diluted Basis”), (ii) on the thirty-first (31st) day after an Event of Default or Registration Breach until (x) the Obligations (as defined in the Loan Agreement) are paid in full indefeasibly and all Registration Breaches are fully cured or (y) the written waiver by the Lender, if any, and the Holder, as applicable, of all Events of Default and Registration Breaches, by an additional number of Shares equal to 1.0% of the Company’s outstanding capital stock on a Fully Diluted Basis until (x) the Obligations are paid in full indefeasibly and all Registration Breaches are fully cured or (y) the written waiver by the Lender, if any, and the Holder, as applicable, of all Events of Default and Registration Breaches, by an additional number of shares of Warrant Stock equal to 1.0% of the Company’s outstanding capital stock on a Fully Diluted Basis.

  • Type B quantity means a quantity of radioactive material greater than a Type A quantity.

For interconnection with grid and metering, the WPDs shall abide by the relevant CERC/ SERC Regulations, Grid Code and Central Electricity Authority (Installation and Operation of Meters) Regulations, 2006 as amended and revised from time to time.

  • MMBtu means one million British thermal units, which is equivalent to one dekatherm.
