Capital Markets. Advice and services relating to capital raising transactions and relationship with shareholders, but not including solicitation of investors as a broker, dealer or underwriter in any capital raising transactions of the Company.
Capital Markets. (A) Where requested by GMAC Bank, assist in the development and introduction of new loan products/programs;
(B) At the direction of GMAC Bank, execute trades into the secondary market, maintain relations with brokerage firms, investment bankers, government agencies and all other customer relationships as required;
(C) At the direction of GMAC Bank (which direction shall be given within a reasonable timeframe), negotiate terms for sale/purchase of mortgage loans on behalf of GMAC Bank with investors, correspondents and/or brokers, as applicable;
(D) Pursuant to GMAC Bank’s risk management policies, advise GMAC Bank as to the execution of hedging agreements; monitor and manage the market risk exposure associated with decline in interest rates and “fallout” risk associated with GMAC Bank’s mortgage loan programs mutually agreed upon between GMAC Bank and GMAC Mortgage;
(E) At GMAC’s Bank’s direction (which direction shall be given within a reasonable timeframe to meet bond Market Association (BMA) deadlines), create Agency pools using best execution model and deliver pools and settle pools according to BMA calendar;
(F) Develop and distribute pool/transaction funding detail, sales reports and wire advises to Finance to record transactions.
(G) GMAC Mortgage to sell and deliver non-conforming loans on behalf of GMAC Bank (e.g. CRA, home equity) to third-party custodian or whole loan investor.
(H) Obtain market price quotation for Home Equity securitizations from investment bankers/dealers to support compliance with 23B within thirty (30) days of trade execution.
Capital Markets if any Borrower, BMEP, BMEH or BMEBV or any other Group Company shall enter into any Capital Markets Transaction then, subject to the following provisions of this clause 16.3.15, it shall apply or BMEH shall procure that there is applied, thirty per cent (30%) of the net proceeds of such Capital Markets Transaction to prepay (subject to payment of any broken funding costs) a commensurate amount of the then Total Outstandings, provided that, if the average Excess Availability during the period of six (6) months ending on the date upon which the Capital Markets Transaction is completed was in excess of L5,000,000, then the relevant issuer(s) shall not be obliged to apply such proceeds in prepayment in the manner prescribed by this clause 16.3.15; and
Capital Markets for the period from the date hereof until the Maturity Date, should the Borrower, the Guarantor or a Group Member initiate, engage in, or otherwise enter into an initial registered public offering or a broadly-marketed private placement of any equity or debt securities or a combination thereof, (each a "Covered Transaction"), then the Security Trustee or any of its affiliates (but excluding any transferee of the Security Trustee, assignee or sub-participant thereof) shall have the right but not the obligation to be retained by the Guarantor as an underwriter or placement agent, with such role and title as may be agreed by the Security Trustee (or its affiliate as applicable) and the Guarantor in connection with such Covered Transaction. The term “Covered Transaction” shall not include any private placement of equity or equity linked securities marketed to 35 or less investors. The role of the Security Trustee (or its affiliate as applicable) in such Covered Transaction will be subject to an appropriate underwriting or placement agreement based on market terms and conditions agreeable to the Security Trustee (or its affiliate as applicable) and the Guarantor, and the Security Trustee (or its affiliate as applicable) shall be entitled to customary fees as agreed by the Guarantor and the Security Trustee (or its affiliate, as applicable) in connection with such role.
Capital Markets. The Company has complied with all the legal requirements related to Capital Markets and there were no strictures passed/penalties levied by Stock Exchange/SEBI or any other regulatory body. The Company has in place an Employee concern (Whistle Blower) which is also available on the Company’s website i.e. xxx.xxxx-xxxxx.xxx . No personnel have been denied access to the Audit Committee to lodge their grievances.
Capital Markets and shall procure that, if the Borrower or a Group Member commences procedures for any public listing, flotation or similar public offering on any stock exchange, then the Borrower or such Group Member shall contract with the Agent (or such affiliate as it may nominate) to act as co-managing underwriter (or equivalent) in respect of 10% of the value of such offer, on terms that the Agent or such affiliate shall receive a securities offer fee (the “Securities Fee”) of 10% of the aggregate of the gross underwriting discounts, commissions and placement fees payable in respect of each such offer up to a maximum aggregate of USD750,000;
Capital Markets. Borrower shall not, and shall not permit any Subsidiary to, issue, offer or sell its debt or equity securities in any public or private capital market unless: (a) such issuance, offer or sale would not cause or would not reasonably be expected to cause a material adverse change in, or material adverse effect upon any of (i) the financial condition, operations, business, properties or prospects of Borrower or such Subsidiary, (ii) the rights and remedies of Lender under any Loan Document, or the ability of Borrower or such Subsidiary to perform any of its obligations under any Loan Document to which it is a party, (iii) the legality, validity or enforceability of any Loan Document, or (iv) the existence, perfection or priority of any security interest granted in any Loan Document or the value of any material Collateral and (b) no Default has occurred and is continuing.
Capital Markets. The Administrative Agent shall be satisfied that a clear market exists for the syndication of the financing contemplated hereby and that there shall have occurred no material adverse change in the syndication or capital markets or the regulations or policies affecting the Borrower, its Subsidiaries, the Administrative Agent, the Arranger or the Banks.
Capital Markets. Trading in securities generally on the New York or American stock exchanges or NASDAQ shall not have been suspended, minimum or maximum prices shall not have been established on any such exchange, a banking moratorium shall not have been declared by New York or United States authorities, and there shall not have been an outbreak or escalation of hostilities between the United States and any foreign power, an outbreak or escalation of any other insurrection or armed conflict involving the United States or any other national or international calamity or emergency, or any material change in the general financial markets of the United States which, in each case, in the judgment of any lender to Buyer or any prospective underwriter of securities to be issued by Buyer in connection with Buyer's obtaining financing sufficient for Buyer to pay the Total Purchase Price, would make it impractical or unadvisable to proceed with such financing.
Capital Markets. Vendor shall source debt capital towards the acquisition and development of the Property. Vendor shall earn an amount of one-half percent (0.5%) (as determined by the Company in the Company’s sole, but reasonable discretion) of the total committed amount of any such loan used to secure the Property, paid at the closing of such debt.
