Existing Guarantee and Collateral Agreement definition

Existing Guarantee and Collateral Agreement as defined in the recitals hereto.

Existing Guarantee and Collateral Agreement means the Amended and Restated Guarantee and Collateral Agreement, dated as of July 1, 2011, among the Borrower, each Subsidiary Guarantor, Deutsche Bank Trust Company Americas, as collateral trustee, and the other parties thereto, as amended, restated, amended and restated, supplemented or otherwise modified prior to the Closing Date.

Existing Guarantee and Collateral Agreement shall have the meaning assigned to such term in the preliminary statement.

• All terms, conditions, agreements, covenants and representations and warranties contained in the Existing Guarantee and Collateral Agreement remain in full force and effect, except as expressly amended herein.

• It is understood that, with respect to each Guarantor party to this Agreement immediately prior to the date hereof, such Guarantor’s guarantee constitutes a continuation of its guarantee under the Existing Guarantee and Collateral Agreement.
