Existing Guarantee and Collateral Agreement definition

Existing Guarantee and Collateral Agreement as defined in the recitals hereto.

Existing Guarantee and Collateral Agreement means the Amended and Restated Guarantee and Collateral Agreement, dated as of July 1, 2011, among the Borrower, each Subsidiary Guarantor, Deutsche Bank Trust Company Americas, as collateral trustee, and the other parties thereto, as amended, restated, amended and restated, supplemented or otherwise modified prior to the Closing Date.

Existing Guarantee and Collateral Agreement shall have the meaning assigned to such term in the preliminary statement.

Examples of Existing Guarantee and Collateral Agreement in a sentence

• This Agreement shall amend and restate the Existing Guarantee and Collateral Agreement in its entirety, and the rights and obligations of the parties under the Existing Guarantee and Collateral Agreement shall be subsumed within and be governed by this Agreement.

• It is understood that, with respect to each Guarantor party to this Agreement immediately prior to the date hereof, such Guarantor’s guarantee constitutes a continuation of its guarantee under the Existing Guarantee and Collateral Agreement.

• All security interests, Liens and obligations created by the Existing Guarantee and Collateral Agreement are continued in full force and effect under this Agreement.

• On the date hereof, the Existing Guarantee and Collateral Agreement shall be amended and restated and superseded in their entirety by this Agreement.
