Guaranty and Collateral Agreement definition

Guaranty and Collateral Agreement means the Guaranty and Collateral Agreement dated as of the date hereof executed and delivered by the Loan Parties, together with any joinders thereto and any other guaranty and collateral agreement executed by a Loan Party, in each case in form and substance satisfactory to the Administrative Agent.

Guaranty and Collateral Agreement means a Third Amended and Restated Revolver Guaranty and Collateral Agreement executed by the Borrower and the Guarantors in substantially the form of Exhibit E granting and confirming security interests in certain Collateral and unconditionally guarantying on a joint and several basis, payment of the Secured Obligations, as the same may be amended, modified or supplemented from time to time.

Guaranty and Collateral Agreement means the Guaranty and Collateral Agreement executed by the Borrower and the Guarantors on the Effective Date in form and substance satisfactory to the Administrative Agent pursuant to which (a) the Guarantors guaranty, on a joint and several basis, payment of the Obligations, and (b) the Borrower and the Guarantors grant security interests on the Borrower’s and the Guarantors’ personal property constituting “Collateral” as defined therein in favor of the Administrative Agent for the benefit of the Secured Parties to secure the Obligations, as the same may be amended, modified, supplemented or restated from time to time.

Examples of Guaranty and Collateral Agreement in a sentence

A counterpart of the Guaranty and Collateral Agreement executed by each Loan Party, together with all instruments, transfer powers and other items required to be delivered in connection therewith.
When used herein the following terms shall have the following meanings: Account Debtor is defined in the Guaranty and Collateral Agreement.
The information set forth in Annex 1-A hereto is hereby added to the information set forth in the Schedules to the Guaranty and Collateral Agreement.
In the event that any provisions of this Grant are deemed to conflict with the Guaranty and Collateral Agreement, the provisions of the Guaranty and Collateral Agreement shall govern.

Guaranty and Collateral Agreement means the Amended and Restated Guaranty and Collateral Agreement, dated as of September 5, 2014, by and among the Borrowers, each Guarantor and the other grantors set forth therein, in favor of the Collateral Agent, as reaffirmed pursuant to the Amendment and Restatement Agreement.

Guaranty and Collateral Agreement means that certain Second Amended and Restated Guaranty and Collateral Agreement, as may be amended, restated, supplemented or otherwise modified from time to time, dated as of April 26, 2011, by EV Properties, L.P. and each of the signatories thereto in favor of JPMorgan Chase Bank, N.A., as administrative agent for the banks and other financial institutions from time to time parties hereto.

Guaranty and Collateral Agreement means the Guaranty and Collateral Agreement from the Company and its Material Subsidiaries which amends and restates and consolidates the Existing Collateral Documents, as the same may be amended, restated, supplemented or otherwise modified from time to time.
