After giving effect to the Transaction, Parent and its Subsidiaries shall have no outstanding Indebtedness other than (i) up to $15,000,000 of letters of credit incurred pursuant to clause (g) of Section 7.2.2 (plus letters of credit that have been fully collateralized by a letter of credit referred to in such clause (g)), (ii) up to $465,500,000 in aggregate principal amount of New Notes and Existing Parent Notes and (iii) the Indebtedness identified in Item 7.2.2(c) of the Disclosure Schedule.
If the Administrative Agent has received evidence satisfactory to it that the Existing Parent Notes have been fully repurchased, redeemed, repaid or otherwise satisfied in full, remaining funds in the Full Dominion Account shall be disbursed to a Pledged Account pursuant to Borrower’s instructions.
The Loan Parties shall, and shall cause their Subsidiaries, to pay directly into the Full Dominion Account any Net Cash Proceeds of any issuance of Replacement Parent Notes not used to repurchase, redeem, repay or otherwise satisfy Existing Parent Notes substantially simultaneously with (and, in any event within two (2) Business Day after) the issuance of such Replacement Parent Notes.
As of the Closing Date, there are outstanding (x) $300,000,000 in aggregate principal amount of First Lien Notes, (y) $137,571,000 in aggregate principal amount of Second Lien Notes and (z) $13,572,000 in aggregate principal amount of Existing Parent Notes.
