If on the Relevant Announcement Date the Guarantor or the Notes carry a credit rating from more than one Rating Agency, at least one of which is an investment grade rating, then sub-paragraph (z) above will not apply. In this Condition, a "Rating Agency" means any of the credit rating agencies of Fitch Ratings ("Fitch"), Moody's Investors Service ("Moody's") or Standard & Poor's, a division of The McGraw-Hill Companies, Inc. ("Standard & Poor's") and their respective successors to their ratings business.
