Each Purchaser solely owns all right, title and interest in and to its respective Existing Promissory Note(s) and has not conveyed any interest or other right in any such Existing Promissory Note to any other Person or otherwise subjected, or allowed to be subjected, such Existing Promissory Note to any lien or other encumbrance.
No provision of this Agreement may be waived, modified, supplemented or amended except in a written instrument signed, in the case of an amendment, by the Company and Purchaser(s) holding Existing Promissory Note(s) representing at least a majority of the aggregate Existing Debt Amount for all Existing Promissory Notes or, in the case of a waiver, by the party against whom enforcement of any such waived provision is sought.
