Existing Security Trust Deed definition

Existing Security Trust Deed means the security trust deed, originally dated January 18, 2005 as amended on May 22, 2012 and as further amended on May 14, 2014 among the Security Trustee and the Issuer, and the other parties named therein and who accede from time to time.

  • Security Trust Deed means the Security Trust Deed executed by, inter alia, the Borrower, the Guarantor, the Collateral Agent, the Facility Agent, the Original Secured Creditors (as defined therein) and the Delegate Collateral Agent and shall be substantially in the form of Exhibit P or otherwise reasonably acceptable to the Facility Agent.

  • Security Trust Agreement means that certain security trust agreement dated on or about the Merger Closing Date made between the Security Trustee and the Lenders and relating to the appointment of the Security Trustee as trustee of the Security.

  • Security Trustee shall have the meaning ascribed thereto in the preamble;

  • Trust Deed means the Trust Deed dated December 9, 2002 of UTI Mutual Fund.

  • Mortgage Security Trust Fund As to any Mortgage Security, the trust fund in which such Mortgage Security evidences a fractional undivided interest. New York Presenting Agent: State Street Bank and Trust Company, N.A., with its offices at 00 Xxxxxxxx, Xxx Xxxx, Xxx Xxxx or such other office within the Borough of Manhattan, City of New York, State of New York, as Xxxxxx Mae may appoint by notice to the Trustee.

  • Existing Security Agreement has the meaning set forth in the recitals hereto.

  • Controlling Secured Parties means, with respect to any Shared Collateral, the Series of First Lien Secured Parties whose Authorized Representative is the Applicable Authorized Representative for such Shared Collateral.

  • Existing Security Documents shall have the meaning assigned to such term in the recitals hereto.

  • Non-Controlling Secured Parties means, with respect to any Shared Collateral, the First Lien Secured Parties which are not Controlling Secured Parties with respect to such Shared Collateral.

  • Majority Trustee Vote means the vote of a majority of the Trustees;

  • charity trustee means a charity trustee of the CIO.

  • Existing Security means any Security granted by any Person over its Assets in respect of any Relevant Indebtedness and which is existing at the relevant Issue Date or at the time any such Person becomes a Material Subsidiary or whose business and/or activities, in whole or in part, are assumed by or vested in the Issuer or a Material Subsidiary after the relevant Issue Date (other than any Security created in contemplation thereof) or any substitute Security created over those Assets (or any part thereof) in connection with the refinancing of the Relevant Indebtedness secured on those Assets provided that the principal, nominal or capital amount secured on any such Security may not be increased;

  • Existing Secured Notes means the previously issued debt securities of the Issuers outstanding on the date hereof.

  • Master Trust Deed means the Master Trust Deed dated 8 October 1997 between the Trustee and SAS, as amended from time to time.

  • Subordination Deed means a subordination deed entered into or to be entered into by, inter alia, each Subordinated Creditor and the Agent in agreed form;

  • Underlying Securities Trustee means The Bank of New York.

  • Bondholders Meeting" means a meeting among the Bondholders held in accordance with Clause 17 (Bondholders’ Meeting).

  • Advance Facility Trustee As defined in Section 3.22.

  • Security Deed means the security deed dated on or about the Series Issue Date of the ETC Securities entered into as a deed by the Issuer, the Trustee and any other parties thereto by the execution of the Issue Deed and in the form of the Master Security Terms (as amended and/or supplemented by the Issue Deed) and as such Security Deed is amended, supplemented, novated or replaced from time to time.

  • Deed of Assignment means the deed of assignment of the Shareholder Loan in the agreed form set out in Schedule 6 (Deed of Assignment) to be entered into between the Seller and the Buyer upon Completion.

  • Deed of Accession means a deed of accession substantially in the form of Schedule 5 (Form of Accession Deed).

  • Underlying Securities Indenture As set forth in Schedule I.

  • Supplemental Trust Deed means the supplemental trust deed which constitutes and secures, inter alia, the Notes, dated 3 November 2016 and made between the Lender, the Trustee and the agents named therein.

  • Escrow Account Pledge Agreement means the pledge agreement entered into between the Issuer and the Agent in respect of a first priority pledge over the Escrow Account and all funds held on the Escrow Account from time to time, granted in favour of the Noteholders.

  • Underlying Security means a security issued or transferred, or to be issued or transferred, in accordance with the terms of a convertible security, an exchangeable security or a multiple convertible security;

  • Secured Swap Provider means (i) a Lender or an Affiliate of a Lender (or a Person who was a Lender or an Affiliate of a Lender at the time of execution and delivery of a Rate Contract) who has entered into a Secured Rate Contract with Borrower, or (ii) a Person with whom Borrower has entered into a Secured Rate Contract provided or arranged by GE Capital or an Affiliate of GE Capital, and any assignee thereof.
