EXPENSES BORNE BY THE MANAGER. The Manager will pay:
EXPENSES BORNE BY THE MANAGER. The Manager will pay: (a) the organizational expenses of the Fund and its portfolios and share classes, including the Fund's registration under the Investment Company Act of 1940, and the initial registration of its Capital Stock for sale under the Securities Act of 1933 with the Securities and Exchange Commission; (b) Compensation of personnel, officers and directors who are also affiliated with the Manager; and (c) Expenses and compensation associated with furnishing office space, and all necessary office facilities and equipment, and personnel necessary to perform the general corporate functions of the Fund.
EXPENSES BORNE BY THE MANAGER. The Manager at its own expense shall furnish all executive and other personnel, office space, and office facilities required to render the investment management and administrative services set forth in this Agreement. In the event that the Manager pays or assumes any expenses of the Trust or a Fund not required to be paid or assumed by the Manager under this Agreement, the Manager shall not be obligated hereby to pay or assume the same or similar expense in the future; PROVIDED that nothing contained herein shall be deemed to relieve the Manager of any obligation to the Trust or a Fund under any separate agreement or arrangement between the parties.
EXPENSES BORNE BY THE MANAGER. Without regard to the compensation received by the Manager, the Manager shall bear the following expenses:

The services of all investment professionals and staff of the Manager, when and to the extent engaged in providing investment advisory services hereunder, and the compensation and routine overhead expenses of such personnel allocable to such services, will be provided and paid for by the Manager and not by the Fund.
EXPENSES BORNE BY THE MANAGER. The Manager will pay all expenses of each of the Portfolios except those expenses borne by the Fund as provided in Section 5 below.
