Export and Import Approvals means all export licenses, license exceptions, consents, notices, waivers, approvals, orders, authorizations, registrations, declarations and filings, from or with any Governmental Entity, that are required for compliance with Export and Import Control Laws.

  • Without limiting the foregoing: (i) the Company is in compliance with the terms of all applicable Export and Import Approvals, and (ii) there are no pending or, to the Company’s Knowledge, threatened claims, charges, investigations, violations, settlements, civil or criminal enforcement actions, lawsuits, or other court actions against the Company with respect to any Export and Import Control Laws.

  • Export Control Laws means all applicable export and re-export control laws and regulations, including (a) the Export Administration Regulations (“EAR”) maintained by the U.S. Department of Commerce, (b) trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control, and (c) the International Traffic in Arms Regulations (“ITAR”) maintained by the U.S. Department of State.

  • Export Laws means all applicable import, export control and sanctions, including but without limitation, the laws of the United States, the EU, and Germany.

  • Requisite Regulatory Approvals has the meaning set forth in Section 7.01(b).
