The Administrative Agent shall have received a certificate, signed by a Financial Officer and dated the Extension Amendment Effective Date stating that the representations and warranties contained in Section 4 hereof are true and correct.

A certificate, dated the Extension Amendment Effective Date and signed by the President, any vice president or a Financial Officer of the Company, confirming compliance with the conditions to the Extension Amendments set forth in Section 5 above and this Section 6.
