Extension Amount definition

Extension Amount has the meaning given to such term in Section 3.09 hereof.

Extension Amount means 110% of the sum of (a) the outstanding principal amount of this Debenture at the expiration of the original Maturity Date, plus (b) accrued and unpaid interest thereon at the expiration of the original Maturity Date, plus (c) all other amounts, costs, expenses and liquidated damages due in respect of this Debenture at the expiration of the original Maturity Date.

Extension Amount means the product of (i) $[ ] multiplied by [(ii) a fraction, the numerator of which is the sum of the number of Initial Equity Trust Securities and Additional Equity Trust Securities and the denominator of which is the number of Initial Equity Trust Securities, multiplied by] (iii) a fraction, the numerator of which is the sum of the Firm Share Base Amount and the Additional Share Base Amount and the denominator of which is the number of Initial Equity Trust Securities and Additional Equity Trust Securities.

Examples of Extension Amount in a sentence

• Each Credit Extension in respect of each Credit Facility shall be in an amount at least equal to the applicable Minimum Credit Extension Amount for such Credit Facility as set forth in the Credit Facility Schedule or such lesser amount as shall remain undisbursed under the Applicable Commitments for such Credit Facility.

• The Credit Extension in respect of each Credit Facility shall be funded in a single drawing and shall be in an amount at least equal to the applicable Minimum Credit Extension Amount for such Credit Facility as set forth in the Credit Facility Schedule.

• The Sponsor or one or more of its designated affiliates will have at the time the Extension Amount is to be deposited into the Trust Account under Section 7.16 immediately available funds in an amount equal to the Extension Amount.

• The Company and SPAC agree that, if the Transactions are not consummated by February 18, 2023 and this Agreement has not otherwise been terminated in accordance with its terms, the Sponsor shall deposit, or cause to be deposited, the Extension Amount into the Trust Account in exchange for a non-interest bearing, unsecured promissory note in order to extend the SPAC’s deadline to complete its initial business combination by three (3) months to May 18, 2023.

• Immediately after the extension of the Extended Maturity Date to the Final Maturity Date, the outstanding amount due and payable on this Debenture shall be increased to an amount equal to the Final Extension Amount.

More Definitions of Extension Amount

Extension Amount means, with respect to a Permitted Sale Transaction, either the IM Parks Extension Amount or the PFC Extension Amount, as the context may require.

Extension Amount means the amount, which, pursuant to the SPAC Certificate of Incorporation, the Sponsor shall deposit, or cause to be deposited, into the Trust Account in the form of a non-interest bearing loan in order to extend the deadline for SPAC to consummate its initial business combination by three months to May 18, 2023.

Extension Amount means 105% of the sum of (a) the outstanding principal amount of this Debenture at the expiration of the original Maturity Date, plus (b) accrued and unpaid interest thereon at the expiration of the original Maturity Date, plus (c) all other amounts, costs, expenses and liquidated damages due in respect of this Debenture at the expiration of the original Maturity Date.

Extension Amount has the meaning specified in Section 8.6.

Extension Amount means as of any measurement time, the aggregate amount deposited by the Sponsor, or its affiliates or designees to the Trust Account to extend the period of time SPAC shall have to consummate an initial Business Combination (as defined in the SPAC Amended and Restated Certificate of Incorporation) pursuant to Section 9.1(c) of the SPAC Amended and Restated Certificate of Incorporation.

Extension Amount has the meaning specified in Section 1111(d) of this Indenture.
