Facility A Advance definition

Facility A Advance means an Advance of Facility A.

Facility A Advance means (a) a direct advance by a Lender to the Canadian Borrower by way of Canadian Rate Advance, US Base Rate Advance or SOFR Advance pursuant to Section 3.2, (b) the Acceptance of Bankers’ Acceptances pursuant to Section 10.1 and BA Equivalent Advances pursuant to Section 10.3, (c) the issuance of a Letter of Credit pursuant to ARTICLE 11, and (d) unless the context otherwise requires, a Swingline Advance.

Facility A Advance means an advance made or to be made under Facility A (other than a Term-out Advance) or the principal amount outstanding for the time being of that advance.

Examples of Facility A Advance in a sentence

• The Facility A Lenders shall deliver the proceeds of such Facility A Advance to the Administrative Agent by 12:00 noon (Chicago time) on the applicable Borrowing Date for application to the Swing Line Bank’s outstanding Swing Line Loans.

• The payment by the Issuing Bank of a draft ------------------------- drawn under any Letter of Credit shall constitute for all purposes of this Agreement the making by the Issuing Bank of a Facility A Advance, which shall bear interest at the Base Rate Basis, in the amount of such draft (but without any requirement for compliance with the conditions set forth in Article 3 hereof).

• Subject to the provisions of Clause 23.4 (Break Costs), the Borrower may, by giving to the Facility Agent not less than five Business Days prior written notice to that effect, prepay the whole or any part of a Facility A Advance (being an amount such that the Sterling Amount of such Advance will be reduced by an amount of £10,000,000 or, if greater, an integral multiple of £5,000,000).

• The Ratable Advances may be Floating Rate Advances or Eurodollar Ratable Advances, or a combination thereof, selected by the Borrower in accordance with Section 2.2.3, and as converted or continued in accordance with Section 2.2.4; provided that (a) no Facility A Advance may mature after the Facility A Termination Date, and (b) no Facility B Advance may mature after the Facility B Termination Date.

• The origination fee shall be due and payable regardless of whether Borrower requests a Facility A Advance.

More Definitions of Facility A Advance

Facility A Advance means (i) each borrowing of a portion of the Commitments under Facility A by a Borrower or (ii) (as the context may require) the principal amount of such borrowing for the time being outstanding;
