Whenever the Borrower desires that the Swingline Lender make a Swingline Loan, it shall give the Swingline Lender irrevocable telephonic notice, which telephonic notice must be received by the Swingline Lender not later than 1:00 P.M., New York City time, on the proposed Borrowing Date, specifying (i) the amount to be borrowed, (ii) whether the borrowing is to be comprised of Fed Funds Loans or ABR Loans and (iii) the requested Borrowing Date (which shall be a Business Day during the Commitment Period).
The Agent shall have no obligation to verify the amount of any Available Deposits supporting the pricing of such Fed Funds Loans and/or Swingline Loans, as applicable, held by any Buy-Down Lender, including without limitation, any deficiency fees or other amounts payable to such Lender by the Borrower under the applicable Buy-Down Agreement.
The Agent shall (until otherwise notified by the Borrower and Buy-Down Lender to the contrary) accrue interest on such Fed Funds Loans at the Buy-Down Rate and such Swingline Loans at the Swingline Buy-Down Rate and the Borrower shall pay such interest in accordance with Section 2.17.
Interest on Fed Funds Loans shall be payable monthly, in arrears, as provided in Paragraph 2(d) below, and interest on Eurodollar Loans shall be payable at the end of the applicable Interest Period and, in the event the applicable Interest Period exceeds one month, monthly in arrears, as provided in Paragraph 2(d) below.
Until such notice has been withdrawn by the Administrative Agent, no further Eurodollar Loans shall be made or continued as such, nor shall the Borrowers have the right to convert Prime Rate Loans or Fed Funds Loans to Eurodollar Loans.
Upon the funding of a participation under this paragraph (f) in any Euro Loan or Sterling Loan, the portion of such Loans so funded shall be converted to Dollar Swingline Loans accruing interest as Fed Funds Loans but JPMorgan’s Applicable Percentage of such Loans shall remain as a Euro Loan or a Sterling Loan.
When the agent leaves the firm and no longer receives compensation, he still consumes from his private account and has access to the capital market.
In addition to Fed Funds Loans pursuant to Section 2.1, but subject to the terms and conditions of this Agreement (including, without limitation, the limitation set forth in Section 4.1(b) as to the aggregate principal amount of Revolving Loans at any time outstanding hereunder), from time to time the Company may request the Bank to make offers to make to the Company Revolving Loans which are designated as Money Market Loans.
If such notice is given, all Fed Funds Loans made after the date of such notice shall bear interest at the applicable Prime Rate less 1/2%.
The Agent shall (until otherwise notified by the Borrower and Buy- Down Lender to the contrary) accrue interest on such Fed Funds Loans at the Buy-Down Rate and the Borrower shall pay such interest in accordance with Section 2.18.
